When Can Dormant Company Accounts Be Filed?

For a company in Northland to be regarded as dormant for Companies House purposes, it must normally have no significant accounting transactions during the relevant period. Companies that have not yet begun to trade, have stopped trading, or are held as a property or investment vehicle may qualify, but dormancy is not automatic simply because the company has no sales. Dormant company accounts are the annual accounts that a company prepares and files with Companies House when it has no significant accounting transactions in an accounting period. They are designed to confirm the company's dormant status while still meeting its statutory filing obligation. Filing dormant accounts does not stop the company from being registered, and the company remains subject to other responsibilities such as delivering a confirmation statement.

In most cases, yes. A company that is dormant for Companies House purposes still has to file annual accounts unless it qualifies for a specific exemption, such as the exemption available to certain wholly owned subsidiaries. The accounts are usually simpler, but the deadline still applies. Our team can confirm whether your company is required to file and help you prepare the relevant documentation.

Some dormant companies can file micro-entity accounts if they qualify under the micro-entity criteria in the Companies Act. Eligibility is based on the company's size, structure and accounting period, so dormancy alone does not automatically make a company a micro-entity. Companies House and HMRC apply different tests for dormancy. A company may be dormant for Companies House if it has no significant accounting transactions, while HMRC's dormancy rules relate to Corporation Tax and whether the company has any taxable activity. It is possible for a company to be dormant for Companies House but still have Corporation Tax obligations. If the company is dormant for Corporation Tax, HMRC may need to be notified to stop Corporation Tax Returns, but this depends on the circumstances.

Yes. A confirmation statement is a separate filing with Companies House that confirms the company's registered details are correct. Dormant companies are generally required to deliver a confirmation statement at least once every 12 months. Filing dormant accounts does not replace this statement, and directors are responsible for keeping the company's information up to date.

We can. A company that has never started trading can often prepare dormant accounts if it meets the Companies House dormancy criteria. We will review the company's record to ensure there have been no significant transactions, and we will prepare the accounts so that the company can meet its filing obligations. A company that has never traded still needs to follow the correct process.

If dormant accounts are filed after the Companies House deadline, the company may receive a late-filing penalty. Dormant status does not automatically protect a company from penalties. The penalty amount depends on how late the accounts are and the company's filing history. If you have a reasonable excuse, you may be able to appeal.
