Although the accounts are simplified compared with a full set of trading accounts, they are still a formal filing and need to be prepared correctly. We help eligible dormant companies prepare and file the required accounts.

Yes, in most cases. A company that is dormant for Companies House purposes generally still has to prepare and file annual accounts each year, unless a specific exemption applies. Dormant accounts are not 'no accounts' – they are a formal return showing that the company has no significant accounting transactions. Filing obligations depend on the company's circumstances and the relevant rules, so it is important to check what applies to you.

Companies House and HMRC have separate definitions and processes. A company may be dormant for Companies House purposes, meaning it has no significant accounting transactions and must file dormant accounts. For Corporation Tax, however, HMRC uses its own rules. A company that is dormant for Corporation Tax may need to notify HMRC, and may be able to stop filing Corporation Tax Returns once HMRC has confirmed this in writing. Filing dormant accounts with Companies House does not automatically tell HMRC that the company is dormant for tax purposes. We can help you understand both sets of requirements.

Yes. A confirmation statement is separate from dormant company accounts. It is submitted to Companies House and keeps your company information up to date, such as directors, shareholders and registered office. Even if your company is dormant, you must still file a confirmation statement at least once a year unless the company is exempt. This is a distinct obligation and cannot be replaced by dormant accounts.

Not necessarily, but it depends on your company's Corporation Tax position. If a company is dormant for Corporation Tax purposes and HMRC has agreed that returns are no longer required, then you may not need to submit further CT600 Corporation Tax Returns. However, you must notify HMRC and wait for confirmation. Simply being dormant for Companies House does not automatically stop Corporation Tax duties. Your company may still need to file returns until HMRC confirms otherwise.

If your company is required to file dormant accounts and does not meet the Companies House deadline, it may be subject to late-filing penalties. The amount depends on how late the accounts are and the company's circumstances. Dormant status does not automatically protect a company from penalties.
