We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Nairn Company Prepare Dormant Company Accounts?

Under the Companies Act rules, a company is usually considered dormant for accounting purposes if it has no significant accounting transactions during the relevant financial year. Certain items, such as the payment of filing fees for the accounts or penalties, do not prevent dormancy. Whether your company can prepare dormant company accounts depends on its precise circumstances and the applicable accounting framework. It is important to note that being dormant for Companies House purposes does not automatically remove the requirement to file annual accounts. Most dormant companies still need to deliver a set of accounts to Companies House each year unless a specific exemption applies. In addition, you may still need to submit a confirmation statement to keep your company’s registered information up to date. Being dormant for Companies House is also separate from dormancy for Corporation Tax purposes. HMRC has its own rules, and a company may need to notify HMRC or, in some cases, continue to file Corporation Tax Returns depending on its tax position. Professional advice helps clarify these rules for your situation.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant Company Accounts FAQs

Dormant company accounts are the accounts prepared and filed with Companies House for a financial year in which the company has not had significant accounting transactions. They are typically much simpler than full statutory accounts. However, they still need to meet the applicable Companies House requirements, and a dormant company generally cannot ignore its annual accounts obligations.

In most cases, yes. Dormant company accounts are generally still required to be delivered to Companies House for each financial year unless a specific statutory exemption applies. The requirement depends on the company's exact circumstances, so it is important not to assume that dormancy automatically removes the need to file. We can review your position and prepare the necessary accounts.

Some dormant companies may qualify as micro-entities and may be able to prepare their accounts under the micro-entity framework, including FRS 105 where applicable. Dormancy does not automatically mean a company qualifies for micro-entity accounts, and not all dormant companies are micro-entities. Eligibility depends on size criteria, the company's legal structure and its accounting period. We can help determine the appropriate framework for your company.

Companies House dormancy relates to whether the company has significant accounting transactions for annual reporting purposes. HMRC dormancy for Corporation Tax is a separate concept, based on whether the company has taxable income or chargeable gains. A company may be dormant for one purpose but not the other. Filing dormant company accounts with Companies House does not automatically notify HMRC or stop Corporation Tax obligations.

Yes, generally a dormant company still needs to deliver a confirmation statement to Companies House each year. The confirmation statement is separate from dormant company accounts and confirms the company's registered details, such as directors, shareholders and registered office. Dormancy does not remove this obligation, and you must still keep your company information up to date on the public register.

It depends on the company's Corporation Tax position. A company that is dormant for Corporation Tax purposes may not need to file continuing Corporation Tax Returns once HMRC has confirmed that a return is no longer required, subject to the applicable rules. However, simply being dormant in the company's accounts is not enough to stop Corporation Tax obligations. The company may need to notify HMRC and, depending on circumstances, file a CT600 return for certain periods.

If a dormant company's accounts are delivered late to Companies House, the company can still receive a late-filing penalty. Dormant status does not automatically protect a company from these consequences. If accounts are overdue, the correct step is usually to file them as soon as possible. You may be able to appeal a penalty in certain circumstances, but eligibility depends on the facts and the applicable Companies House rules.

To prepare dormant company accounts, we generally need the company registration number, registered office address, names of directors and shareholders, the accounting period, and confirmation that the company has had no significant accounting transactions. If there have been any transactions, such as the issue of shares or payments for filing fees, these need to be identified because they can affect dormancy. For companies in Nairn, we can guide you through what is required and ensure the accounts are accurate.
