Dormant company accounts are annual accounts prepared for a company that is considered dormant under the applicable Companies House rules. They show a balance sheet and supporting information, but do not include a profit and loss account because the company has had no significant accounting transactions during the period. Preparing accounts in the correct format is still a statutory requirement for many dormant companies.

Yes, in most cases. Even if a company is dormant for Companies House purposes, it is still required to deliver annual accounts to Companies House unless a specific exemption applies. Filing dormant accounts satisfies that requirement, but the company must also keep its confirmation statement up to date and meet its obligations to HMRC.

A dormant company may be able to use the micro-entity reporting framework if it qualifies as a micro-entity under the relevant Companies Act conditions. Companies House and HMRC look at dormancy in different ways. Not necessarily. If HMRC accepts that the company is dormant for Corporation Tax purposes, it may stop issuing reminders and the company may not need to file CT600 returns for periods where no tax is due.
