We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Company in Minehead Use Dormant Company Accounts?

Whether a company can file dormant company accounts depends on its own circumstances and the accounting rules that apply. Broadly, a company is treated as dormant for Companies House purposes when it has no significant accounting transactions during the relevant period. This might apply to a company that has not yet begun trading, has stopped trading, or is retained as a holding company. However, dormancy is not simply the same as being inactive or having no sales; each case must be assessed against the relevant criteria. It is also important to understand that a company can be dormant for Companies House purposes yet still owe a filing requirement – annual accounts must generally still be delivered to Companies House unless a specific exemption applies. Similarly, the confirmation statement is a separate filing that must be kept up to date. Dormancy for Corporation Tax is a different matter. HMRC has its own test and expects to be notified if a company believes it is dormant for Corporation Tax purposes. Filing dormant company accounts with Companies House does not automatically inform HMRC, so directors should review their tax position separately.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are the statutory accounts prepared for a company that is dormant for Companies House purposes. They show that the company has had no significant accounting transactions during the period. Even when a company is dormant, the accounts must still meet the applicable reporting requirements, and filing them with Companies House is usually required. If your company qualifies, the accounts may be prepared in a simplified format; we can review your position and advise accordingly.

Yes. Dormancy does not remove the general requirement to file accounts with Companies House. Unless a specific exemption applies, a dormant company must still deliver annual accounts to Companies House. These are often known as dormant company accounts. Our service ensures the accounts are prepared correctly and filed within the applicable deadline.

Companies House and HMRC use different tests for dormancy. A company may be dormant for Companies House if it has no significant accounting transactions, but HMRC's Corporation Tax dormancy rules are separate. A company may need to notify HMRC and, in some cases, may stop filing Corporation Tax Returns once HMRC has confirmed no return is required. Filing dormant accounts with Companies House does not automatically update HMRC, so directors should consider both obligations carefully.

Yes. A confirmation statement is a separate filing with Companies House, and it must be submitted usually once every 12 months. Dormant status does not remove this requirement. Your company's registered details, such as directors, shareholders and registered office, need to be kept up to date. We can help with the preparation and filing of your confirmation statement alongside dormant company accounts.

Some dormant companies may qualify as micro-entities and can use the micro-entity financial reporting framework, but dormancy and micro-entity status are not the same. Eligibility depends on criteria such as turnover, balance sheet totals and the number of employees. If a dormant company meets the micro-entity conditions, it may be able to take advantage of the simplified reporting framework. We can help you confirm which reporting framework applies to your company.

If required accounts are not filed by the applicable Companies House deadline, the company can receive a late-filing penalty. Dormant status does not automatically protect a company from penalties. The penalty amount depends on how late the accounts are, and paying a penalty does not remove the need to file the overdue accounts. If you have missed a filing date, we can review your situation and help you bring the accounts up to date.

Yes. If your company has missed one or more filing deadlines, we can assist in preparing the outstanding dormant company accounts and submitting them to Companies House. We can also review whether there are grounds for an appeal, although the outcome will depend on the relevant Companies House rules and your company's particular circumstances. The sooner we look at your case, the sooner we can identify what needs to be done.
