I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I had a positive experience with Accotax. The work was completed promptly, my tax return was successfully filed, and I received a refund of overpaid tax. I found the cooperation efficient and helpful. Special thanks to Muhammad Saifullah for his assistance.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Company File Dormant Company Accounts?

A company may be considered dormant for accounting purposes if it has no significant accounting transactions during the financial year. Common examples include companies that have not yet started trading, have stopped trading, are holding companies, or are retained for future use. However, dormancy is determined by the relevant rules and circumstances, not simply by an absence of sales or current trading activity. Even if a company is dormant for Companies House purposes, it may still need to file annual accounts and submit a confirmation statement. Additionally, dormancy for Companies House is separate from dormancy for HMRC and Corporation Tax. If you are unsure whether your Mid Glamorgan company qualifies as dormant, we can review your circumstances and help you identify the correct filing position.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

─── FAQs

Dormant Company Accounts FAQs

Still unsure where you stand? Reach out to our UK team at info@microentityaccounts.co.uk and we will review your filing history with you.

Dormant company accounts are annual accounts prepared for a company that has not had any significant accounting transactions during the financial year. They are filed with Companies House to meet the company’s statutory filing obligations. These accounts are different from full trading accounts and may be simpler in format, but they still need to comply with the Companies Act requirements applicable to dormant companies.

Yes, in most cases. A dormant company generally still has to file annual accounts with Companies House unless a specific exemption applies. Being dormant does not remove the obligation to file accounts. Our team can help you determine whether your company is required to file dormant accounts and prepare them correctly.

Some dormant companies may also qualify as micro-entities and may be eligible to use the micro-entity reporting framework. However, dormancy and micro-entity status are not the same thing. Eligibility depends on the company’s size, legal structure and accounting period. We can assess your company’s position and advise on the appropriate reporting framework.

Being dormant for Companies House purposes means the company has no significant accounting transactions, so it may file dormant accounts. Being dormant for Corporation Tax purposes is a separate position that requires HMRC to accept that the company does not need to submit Corporation Tax Returns. Filing dormant accounts with Companies House does not automatically inform HMRC that the company is dormant. Each authority has its own rules and procedures.

Yes, a confirmation statement is separate from dormant company accounts. A dormant company is still required to submit a confirmation statement to Companies House at least once every 12 months, unless it is exempt or has been dissolved. This statement keeps your registered office, directors and shareholders’ details up to date.

It depends on the company’s Corporation Tax position. A company that is dormant for Corporation Tax purposes may need to notify HMRC and may not be required to file further CT600 Corporation Tax Returns once HMRC has confirmed this. However, you should not assume that filing dormant accounts with Companies House automatically resolves your Corporation Tax obligations. We can review your circumstances and help you deal with HMRC correctly.

Late filing can lead to financial penalties from Companies House, even for dormant companies. The amount depends on how late the accounts are filed and the company’s specific situation. If you have missed a filing deadline, we can help you prepare and file the outstanding accounts, and you may be able to appeal the penalty if you have a reasonable excuse. We cannot guarantee a successful appeal, but we can provide guidance based on your circumstances.

To prepare dormant accounts, we generally need your company’s details, including the registered office address, director information, shareholder details and the dates of the financial year. We also need to confirm that the company has had no significant accounting transactions. In some cases, a dormant company may need to provide details of any prior transactions or begin the process of making the company dormant. We will guide you through the information we require.
