Dormant company accounts are statutory annual accounts prepared for a company that is dormant for accounting purposes. They must meet the applicable Companies House requirements and are typically filed with Companies House. A dormant company still has an obligation to prepare and file these accounts unless a specific exemption applies. The accounts are different from simply not preparing accounts – they are a formal record that the company has had no significant accounting transactions during the period.
Yes, in most cases. A company that is dormant for Companies House purposes generally still needs to file annual accounts with Companies House, unless it qualifies for a specific exemption – for example, being a subsidiary that is exempt from filing its own accounts under certain conditions. Dormant status itself does not remove the filing obligation. Micro Entity Accounts can help you determine whether your company needs to file dormant company accounts and can prepare and submit them on your behalf.
Some dormant companies may also qualify as micro-entities and can therefore use the simplified micro-entity reporting framework, such as FRS 105, depending on their size and eligibility. However, not every dormant company is automatically a micro-entity, and dormancy does not directly determine which reporting framework applies. The company's legal structure, turnover, balance sheet total and number of employees must be considered. We can help you confirm whether your dormant company meets the criteria for micro-entity accounts or whether another framework is more appropriate.
Companies House and HMRC have separate definitions of dormancy. A company may be dormant for Companies House purposes if it has had no significant accounting transactions, but HMRC's rules for Corporation Tax dormancy are different. Being dormant for Companies House does not automatically mean the company is dormant for Corporation Tax, and it does not automatically stop the obligation to file Corporation Tax Returns. If a company is dormant for Corporation Tax, it may need to notify HMRC and may not need to file further CT600 returns once HMRC has confirmed that a return is no longer required. It is important to consider both positions separately.
Yes, a dormant company is still required to file a confirmation statement with Companies House at least once every 12 months, unless it is exempt. The confirmation statement confirms that the company's registered details, such as directors, shareholders and registered office, are up to date. Filing dormant company accounts does not replace the need to file a confirmation statement. Both are separate obligations and need to be met to keep the company compliant.
