We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can You File Dormant Company Accounts in Maldon?

A company may be classed as dormant for Companies House reporting if it has no significant accounting transactions during the accounting period. This can include companies that have not yet started trading, have stopped trading, or are held as a property or investment vehicle. However, a company is not automatically dormant simply because it has no sales or turnover. Dormancy depends on the nature and value of any transactions and the specific rules that apply. Importantly, being dormant for Companies House purposes does not necessarily mean the company is exempt from filing annual accounts. In most cases, a dormant company must still file the required accounts with Companies House each year, unless a specific exemption applies. Additionally, a company that is dormant for Companies House purposes may not be dormant for Corporation Tax purposes. HMRC applies its own rules, and a separate assessment of the company’s tax position is needed. If you are unsure whether your company can file dormant accounts, we can review your circumstances and confirm the correct approach.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant Company Accounts FAQs

Still unsure where you stand? Reach out to our UK team at info@microentityaccounts.co.uk and we will review your filing history with you.

Dormant company accounts are annual accounts prepared for a company that has no significant accounting transactions during the accounting period. They are filed with Companies House to meet the company's statutory filing obligations, where required. The format is typically simplified, but the accounts must show that the company was dormant and include the relevant balance sheet and notes. A dormant company account is not a way to avoid filing altogether.

Yes, in most cases. A company that is dormant for Companies House purposes is usually still required to file annual accounts unless it qualifies for a specific exemption. Companies House must receive the accounts by the applicable deadline, even if the company has never traded or has ceased trading. Our team can help you prepare and file these accounts correctly.

Companies House and HMRC use separate definitions of dormancy. For Companies House, dormancy relates to significant accounting transactions for the purpose of annual accounts. For HMRC, dormancy relates to Corporation Tax. A company may be dormant for Companies House but still need to file Corporation Tax Returns, or it may have ceased for both. HMRC must be notified separately if you believe the company is dormant for Corporation Tax; filing dormant accounts with Companies House does not automatically tell HMRC.

Yes. Filing dormant company accounts does not replace the requirement to file a confirmation statement. A confirmation statement is a separate filing with Companies House that confirms your company's registered details, such as directors, shareholders and registered office address. Most dormant companies must still submit this on time to avoid late-filing penalties.

Some dormant companies are also micro-entities, depending on their size and eligibility. If a company qualifies, it may be able to use the micro-entity reporting framework, which is the most simplified form of company accounts. However, dormancy and micro-entity status are not the same thing, and eligibility must be checked. We can confirm which reporting framework applies to your company.

Companies House can issue late-filing penalties if the required accounts are not submitted by the deadline. Dormant companies are not automatically exempt from these penalties. The penalty amount depends on how late the accounts are filed. If you have missed a deadline, it is important to file the outstanding accounts as soon as possible. We can help bring your dormant company accounts up to date.

Yes. A company that has been incorporated but has never traded may be dormant and may need to file dormant company accounts, depending on its activities and transactions. Even if the company has not yet started its intended business, it still has statutory filing duties as an incorporated company. Our accountants can prepare dormant accounts for companies that have never traded and ensure they are filed correctly.
