I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can You File Dormant Company Accounts in Lingfield?

Your company may be considered dormant for Companies House purposes if it has had no significant accounting transactions during the relevant period. However, dormancy is not simply about having no sales or stopping trading — it depends on the specific circumstances and the rules that apply to your company. Being dormant does not automatically remove your obligation to prepare and file annual accounts, and you may still need to submit a confirmation statement. It is also important to understand that Companies House and HMRC operate different definitions. A company can be dormant for Companies House yet still have Corporation Tax responsibilities, so you will need to check your status with HMRC separately. We can help you identify the correct treatment for your dormant company and support you with the required filings.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are the annual accounts that a company must prepare and file with Companies House when it is dormant for accounting purposes. They are not simply a notice that no accounts are needed; the company still has to submit the prescribed form and any required supporting information. A dormant company is generally required to prepare accounts that meet the applicable Companies House requirements, though the level of detail may be limited depending on your company's status and eligibility.

Yes, in most cases a dormant company must still file its annual accounts with Companies House. Dormant status does not exempt a company from its filing obligations unless a specific exemption or special arrangement applies. Even if no significant accounting transactions have occurred, the company usually still needs to submit a set of dormant company accounts by the applicable deadline. We can assist in preparing and filing the necessary accounts to help you remain compliant.

For Companies House, dormancy generally means the company has had no significant accounting transactions. For HMRC, dormancy for Corporation Tax purposes is considered separately and depends on the company's Corporation Tax position and whether HMRC has been notified that the company is dormant. Filing dormant company accounts with Companies House does not automatically inform HMRC of your tax status. You may still need to contact HMRC and, where applicable, submit Corporation Tax Returns unless HMRC confirms that a return is no longer required.

Yes. A confirmation statement is separate from your dormant company accounts. Dormant companies generally still need to deliver a confirmation statement to Companies House at least once a year, and you must keep your registered details up to date. Filing dormant accounts does not replace the confirmation statement, and both are part of your ongoing compliance responsibilities.

Some dormant companies may also qualify as micro-entities and, if so, they may be able to use the simplified reporting framework known as FRS 105. However, dormancy and micro-entity status are not the same thing. Eligibility depends on the company's size, legal structure and accounting period. We can review your circumstances and explain whether the micro-entity framework is available to your dormant company.

If required annual accounts are filed late, Companies House may issue a late-filing penalty, and dormancy does not automatically protect a company from this. The penalty amount can vary depending on how late the filing is, and paying it does not remove the need to file the outstanding accounts. If a penalty has been issued, we can discuss whether an appeal may be appropriate based on your circumstances, but we cannot guarantee that a penalty will be reduced or cancelled.

Yes. If your dormant company has missed an accounts filing deadline, we can assist you in preparing the outstanding dormant company accounts and submitting them to Companies House where possible. We can also review your compliance position, clarify the steps needed to bring filings up to date, and support you with confirmation statement or Corporation Tax matters. Getting up to date can help you avoid further filing difficulties, although any late-filing penalties will remain subject to the relevant rules.
