We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Company File Dormant Company Accounts?

Directors based in Kirklevington often ask whether their company still has to file. A company may be able to file dormant company accounts once it meets the dormancy conditions set out in the Companies Act. Broadly, that means the company has had no significant accounting transactions during the accounting period. Dormant status may apply to a company that has not started trading, has stopped trading, or has been retained for a future project. However, dormancy does not automatically end every filing obligation. A dormant company will generally still need to file annual accounts with Companies House and may also need to submit a confirmation statement. Equally, being dormant for Companies House purposes is separate from being dormant for Corporation Tax with HMRC, and we will help you understand which rules apply to your individual company.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are a simplified set of statutory accounts prepared for a limited company that is dormant for the purposes of the Companies Act. They are filed with Companies House and typically include a balance sheet along with the required notes. The exact format depends on the company's circumstances and eligibility, and we will ensure the accounts meet the applicable requirements.

Yes, in nearly all cases. Dormancy does not remove the requirement to file annual accounts with Companies House. A dormant company must still submit the required accounts unless a specific exemption applies. The company also needs to keep its records up to date. We can confirm whether your company has anything that might affect its filing duty.

The two are separate regimes. A company may be dormant for Companies House purposes because it has had no significant accounting transactions, but HMRC may still require Corporation Tax returns if it was previously active or has not been formally notified as dormant for tax. Conversely, a company with no Corporation Tax liability may still need to file accounts with Companies House. Meeting one definition does not automatically satisfy the other.

Yes. A confirmation statement is a separate filing required by Companies House at least once every 12 months. It confirms the company's registered details, such as directors, shareholders and registered office. Filing dormant accounts does not replace the confirmation statement, and even a dormant company must keep its Companies House information current.

Yes, a company that has been incorporated but has not yet begun trading may be able to file dormant company accounts, provided it has no significant accounting transactions beyond, for example, the issue of shares. However, it must still comply with its filing duties, including the confirmation statement and, where applicable, any Corporation Tax notification requirements.

If accounts are filed after the applicable deadline, Companies House may issue a late-filing penalty. Dormant status does not automatically protect a company from such penalties, and each case is considered individually. The outstanding accounts must still be submitted. In certain circumstances an appeal may be possible, but it is always better to file well before the deadline to avoid any risk.

To prepare dormant company accounts, we typically need your company registration number, registered office address, details of directors and shareholders, and a record of any transactions that have taken place. If there has been no significant activity, that is itself a key part of the preparation. We will also review any previously filed accounts to ensure consistency, and we will ask you to confirm the accounts before submission.
