When Can You File Dormant Company Accounts?

A company may be considered dormant for Companies House purposes if it has no significant accounting transactions in a given period. However, dormancy is not automatic: it depends on the company’s activities and the applicable rules. For example, a company with no sales or no current trading is not necessarily dormant, and a company that has not yet started trading may or may not be dormant depending on its circumstances. Even where a company is dormant, it generally still needs to file its annual accounts with Companies House and submit a confirmation statement when one is due. Separately, HMRC treats dormancy differently for Corporation Tax, and a company may need to notify HMRC before it can stop filing Corporation Tax Returns. Dormant company accounts are annual accounts prepared for a company that has no significant accounting transactions during the accounting period. They must still meet the filing requirements of Companies House, although the level of detail may be reduced where the company qualifies for a smaller reporting framework. Preparing these accounts correctly is important even when there is little or no activity.

Yes, in most cases a dormant company still needs to file its annual accounts with Companies House for each accounting period. There may be specific exemptions, but dormancy alone does not remove the obligation. If your company is dormant, we can confirm whether an exemption applies and, if not, we can help prepare and file the necessary accounts.

Some dormant companies may also qualify as micro-entities and can use the micro-entity accounting framework. However, dormancy and micro-entity status are different, and eligibility depends on factors such as the company’s size, legal structure and accounting period. We can review your company’s position and advise on the correct reporting framework, which may include dormant company accounts prepared under the micro-entity regime.

Companies House and HMRC have separate definitions of dormancy. A company might be dormant for Companies House because it has no significant accounting transactions, while HMRC looks at the company’s Corporation Tax status. To be treated as dormant for Corporation Tax purposes, the company usually needs to notify HMRC, and HMRC may then cease to expect Corporation Tax Returns. Filing dormant company accounts with Companies House does not automatically update HMRC. We can help you understand both positions and meet each obligation separately.

Generally, yes. The confirmation statement is a separate filing with Companies House and is required at least once every 12 months. Dormant company accounts do not replace the confirmation statement. You must still ensure that your company’s registered details are up to date and that the statement is filed on time. We can assist with preparing and filing your confirmation statement alongside your dormant accounts.

It depends on whether HMRC accepts the company as dormant for Corporation Tax. If the company is dormant for Corporation Tax purposes and HMRC has confirmed that no return is required, then a CT600 may not be necessary. However, this is not automatic. The company may need to notify HMRC of its dormant status and may still need to file returns for earlier accounting periods. We can help clarify your Corporation Tax obligations and submit the appropriate forms to HMRC.

If a dormant company misses the filing deadline for its annual accounts, Companies House can issue a late-filing penalty. The amount varies according to how late the accounts are and whether they are filed electronically or on paper, but dormancy does not prevent penalties. Filing late also means the company remains in default until the accounts are submitted. If your dormant accounts are overdue, we can help bring them up to date and, where the circumstances justify it, explore options for appealing any penalty.
