When Can a Company File Dormant Company Accounts?

They are filed with Companies House to satisfy the company's annual accounts obligation where the company has had no significant accounting transactions in the relevant period. Although the format is simplified compared to full statutory accounts, dormant company accounts must still meet the applicable legal requirements. The company's articles, its accounting period and its eligibility for a particular reporting framework all affect what needs to be prepared.

In most cases, yes. A dormant company is normally still required to file annual accounts with Companies House, even if it has not traded. There are some limited exemptions, but they depend on the type of company and its circumstances. For example, a company that is a subsidiary may be able to claim an exemption in certain cases, but that must be considered carefully. Being dormant does not automatically mean your filing obligations disappear – the obligation remains unless a specific statutory exemption applies.

Some dormant companies may also qualify as micro-entities and can then prepare accounts using the micro-entity framework, often under FRS 105. That depends on the company meeting the size thresholds and other conditions. A company can be both dormant and a micro-entity, but dormancy itself does not automatically make a company a micro-entity. The definitions are not identical, so it is important to consider both sets of rules. Filing dormant accounts with Companies House does not automatically tell HMRC that the company is dormant.

Yes, a dormant company must normally file a confirmation statement at least once every 12 months, unless it is exempt. The confirmation statement is separate from your annual accounts. It confirms the company's registered details, such as directors, shareholders, registered office and SIC code. These details must be kept up to date even while the company is dormant. Failure to file a confirmation statement can lead to the company being struck off the register.

The exact information will depend on the company's situation, but for a typical dormant company accounts application, we will usually need the company number, the date of incorporation, the accounting period, confirmation of directors and shareholders, and any transactions during the period. If there have been no significant accounting transactions, the accounts will reflect that. If the company has filed accounts before, we may need previous filing details. If the required dormant company accounts are not filed by the statutory deadline, Companies House may issue a late-filing penalty. The amount depends on how late the accounts are, and the penalty applies to dormant companies just as it does to active companies. If you have a reasonable excuse, a penalty appeal may be possible, but appeals are judged on the specific circumstances.
