We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Company in Kangeyam File Dormant Accounts?

A company may be able to file dormant accounts if it is dormant for accounting purposes, but this depends on the relevant rules and the company’s specific circumstances. For Companies House reporting, a company is broadly dormant if it has no significant accounting transactions during the accounting period. However, simply having no sales, no employees or no customers does not automatically make a company dormant. Dormancy is judged against the applicable accounting and reporting requirements, so it is important to review the position properly. Companies that have never traded, have stopped trading or are retained for future use may be dormant in some cases, but the rules must be applied carefully. Being dormant for Companies House purposes does not remove the requirement to file annual accounts or to submit other statutory filings such as the confirmation statement when one is due. There is also a separate dormancy status for HMRC and Corporation Tax purposes. Filing dormant accounts with Companies House does not automatically tell HMRC that your company is dormant for Corporation Tax. The definition of dormancy can differ between Companies House and HMRC, and each must be considered in its own right. We can help you understand whether dormant company accounts are suitable for your company and what other filing obligations may still apply.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are annual accounts prepared for a company that is dormant for accounting purposes. They are filed with Companies House as the company's statutory accounts. The content of dormant accounts is typically limited because the company has no significant accounting transactions, but the accounts must still satisfy the applicable Companies House requirements. Filing dormant accounts does not mean the company has no obligations – it simply means the accounts reflect its dormant status.

Yes, in most cases a dormant company must still file annual accounts with Companies House. Even if a company is dormant, the Companies House requirement to prepare and deliver accounts does not simply disappear. Some dormant companies may qualify for an exemption from certain parts of the accounts, but the obligation to file the required accounts usually remains. A professional review of your company's circumstances is the safest way to confirm what is needed.

Some dormant companies may also qualify as micro-entities and may be able to use the micro-entity reporting framework. This is not automatic, and dormancy and micro-entity status are not the same thing. Eligibility depends on the company's size, business type and the applicable accounting rules. We can review your company's position and prepare the appropriate accounts framework that is allowed by law.

The two types of dormancy are separate. A company can be dormant for Companies House because it has no significant accounting transactions, while HMRC's dormancy test for Corporation Tax can be different. If a company is dormant for Corporation Tax purposes, it may need to notify HMRC and, once HMRC confirms that a return is no longer needed, it may not need to produce a CT600 Corporation Tax Return for future periods. Filing dormant accounts with Companies House does not automatically update HMRC about this. Both regulators must be considered separately.

Yes, a dormant company generally still needs to file a confirmation statement with Companies House at least once every 12 months. The confirmation statement is separate from the annual accounts and must be filed on time to keep the company's registered information up to date. Being dormant does not remove the requirement to submit a confirmation statement, and late filing can lead to consequences. We can help you manage this alongside your dormant accounts.

To prepare dormant company accounts we typically need details about the company's registered office, directors, shareholders and its accounting period. We also need confirmation that the company has not had any significant accounting transactions during the period, or details of any limited transactions that may still qualify under the exemptions. We can provide a clear checklist so you know exactly what to send us, and we will handle the preparation and filing with Companies House on your behalf.

If dormant company accounts are filed late with Companies House, the company can still face late-filing penalties. Dormant status does not automatically protect a company from these consequences. The penalty amount depends on how late the accounts are filed and the company's circumstances. A penalty appeal may be possible in certain situations, but it is never guaranteed. The best approach is to file the accounts on time. If you have missed a deadline, we can help you prepare and file the outstanding accounts as soon as possible.

Yes. If a company has been incorporated but has never traded and meets the dormancy criteria, it may be able to prepare dormant accounts for Companies House purposes. We can help you confirm whether the company qualifies as dormant and file the necessary accounts. We can also advise on the company's other obligations, such as the confirmation statement and any HMRC matters. Our support is tailored to companies in Kangeyam and across the wider UK.
