They must meet the applicable Companies House requirements while reflecting that the company has had no significant accounting transactions during the period. They are not simply 'no accounts' — the company still generally needs to file the required accounts unless a specific exemption applies.

Yes, in most cases. Being dormant for Companies House purposes does not automatically remove the requirement to file annual accounts. A dormant company will usually need to file the required accounts with Companies House, though some companies may qualify for an exemption from audit or from certain filing obligations depending on their circumstances. It is important to check your company's exact position, because late or missed filings can lead to penalties.

A dormant company that qualifies as a micro-entity may be able to use the simplified micro-entity reporting framework when preparing its accounts. Not every dormant company is a micro-entity, and the company's legal structure, accounting period and eligibility must be considered before choosing the appropriate framework.
