We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Should a Company in Hoylake File Dormant Accounts?

A company may be considered dormant for accounting purposes if it has no significant transactions during the relevant accounting period. This can include companies that have not yet started trading, have stopped trading, or are being retained for future use. However, dormancy is not automatic simply because there is no sales activity. Whether dormant company accounts are appropriate depends on your company’s individual circumstances and the rules set by Companies House. Importantly, a dormant company still has annual filing obligations to meet unless a specific exemption applies. Additionally, being dormant for Companies House purposes is not the same as being dormant for HMRC’s Corporation Tax purposes, so it is essential to consider both positions and ensure all statutory requirements are addressed.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are the annual accounts prepared for a company that is dormant for accounting purposes. They are filed with Companies House and must meet the applicable reporting requirements. Even though the company has no significant transactions, the accounts still need to be prepared correctly and filed by the statutory deadline, unless a specific exemption applies.

Yes, in most cases a dormant company still needs to file annual accounts with Companies House. Dormant status does not automatically remove the obligation to file accounts. The accounts are simplified compared to an active company's accounts, but they must still be submitted on time to avoid late-filing penalties. Some exemptions may apply depending on the company's specific circumstances, but these are not automatic.

Companies House and HMRC use different definitions of dormancy. A company may be dormant for Companies House purposes if it has no significant accounting transactions, but HMRC's dormant status for Corporation Tax depends on the company's tax circumstances. A company that is dormant for Corporation Tax purposes may need to notify HMRC and may not need to file further Corporation Tax Returns once HMRC confirms this. Filing dormant accounts with Companies House does not automatically inform HMRC that the company is dormant, nor does it resolve Corporation Tax obligations.

Some dormant companies may also qualify as micro-entities under the Companies Act criteria. If eligible, they may be able to use the micro-entity reporting framework, which provides a simpler set of reporting requirements. However, dormancy and micro-entity status are not the same thing, and eligibility depends on factors such as the company's size, legal structure and accounting period. We can review your circumstances to conclude whether micro-entity accounts are suitable for your dormant company.

Yes, a confirmation statement is separate from dormant company accounts and is generally still required. It must be submitted to Companies House at least once every 12 months to confirm that the company's registered details are up to date. Filing dormant accounts does not replace the requirement to file a confirmation statement, and the company must keep its information on the register current.

This depends on the company's circumstances with HMRC. If a company is dormant for Corporation Tax purposes and has been notified to HMRC, it may not need to file further CT600 Corporation Tax Returns once HMRC has confirmed that a return is no longer required. However, this is not automatic. If the company has received income or has other Corporation Tax liabilities, it may still need to file returns. Dormant accounts filed with Companies House do not count as a Corporation Tax Return, so you should confirm the position with HMRC or speak to us for guidance.

Yes, we can assist in preparing and filing overdue dormant company accounts for eligible companies. If your company has missed its filing deadline, it is important to address the overdue accounts as soon as possible. Filing late does not remove the requirement to file, and late-filing penalties may apply. We can help you prepare the necessary documents and file them with Companies House, and we can review whether you may have grounds to appeal any penalties, depending on the circumstances.
