We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can You File Dormant Company Accounts in Holland On Sea?

A company is generally considered dormant for accounting purposes if it has no significant accounting transactions during the financial year. That usually means the company has not started trading, has stopped trading, or has not entered into transactions that would need to be reflected in its accounts. However, dormancy is not simply about having no sales or income; it depends on the company’s individual circumstances and the applicable Companies House rules. It is important to understand that a dormant company is not exempt from filing accounts automatically. In most cases, a dormant company must still file annual accounts with Companies House each year, unless a specific exemption applies. Similarly, being dormant for Companies House purposes is not the same as being dormant for Corporation Tax. HMRC has its own criteria, and a company may need to notify HMRC separately to stop filing Corporation Tax Returns. We can review your situation and confirm whether dormant company accounts are the right approach for your company in Holland On Sea, and what filing obligations will still remain.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant Company Accounts FAQs

Still unsure where you stand? Reach out to our UK team at info@microentityaccounts.co.uk and we will review your filing history with you.

Dormant company accounts are the annual accounts prepared for a company that is dormant for accounting purposes. They are filed with Companies House and follow a simplified format, often including a balance sheet and supporting notes only where required. The accounts must still meet the statutory requirements, and they are separate from any Corporation Tax reporting to HMRC.

Yes, in most circumstances. Dormant status does not automatically remove your obligation to file annual accounts. Unless a specific exemption applies, every company incorporated under the Companies Act must deliver a set of accounts to Companies House each year, even if it is dormant. Our accountants can prepare and file these on your behalf.

Some dormant companies may qualify as micro-entities and can prepare accounts under the micro-entity accounting framework, which is even simpler than standard dormant accounts. However, eligibility is not automatic. It depends on the company's size, legal structure and accounting period. We can check whether your company meets the relevant criteria before choosing the right filing route.

Companies House uses its own definition of dormancy for annual accounts filing, based on the absence of significant accounting transactions. HMRC has a separate test for Corporation Tax dormancy, based on the company's trading activity and income. A company can be dormant for Companies House purposes but still be considered active for HMRC, and vice versa. You must notify each authority separately where applicable.

Yes. A confirmation statement is a separate filing from dormant company accounts. It confirms that Companies House has up-to-date information about the company, including its registered office, directors and shareholders. Even a dormant company is generally required to file a confirmation statement at least once every twelve months.

That depends on the company's HMRC dormancy status. If a company is dormant for Corporation Tax purposes and HMRC has confirmed that no further returns are required, then it may not need to file a CT600. However, this requires a formal notification to HMRC. If HMRC has not agreed that the company is dormant, Corporation Tax Returns may still be needed.

Companies House applies late-filing penalties to accounts received after the statutory deadline. Dormant accounts are no exception, so failing to file on time can result in automatic penalties even if the company is not trading. If your accounts are already late, we can help you prepare and file the outstanding accounts as quickly as possible and advise on the options available, including whether an appeal may be appropriate based on the circumstances.

To prepare dormant company accounts, we typically need basic company details such as the registered number, registered office address, director details and the number of shares in issue. We also need to confirm that there have been no significant accounting transactions during the year, apart from any permitted items such as shares issued or filing fees. We will guide you through exactly what we require.
