When Can You File Dormant Company Accounts?

Dormant company accounts are annual accounts prepared for a company that is dormant for accounting and Companies House purposes. A dormant company typically has no significant accounting transactions during the financial year, but this does not mean the company is exempt from filing obligations. The accounts are prepared to meet the requirements of the Companies Act and are delivered to Companies House within the applicable filing period.

Yes, a dormant company will generally still need to file accounts unless a specific exemption applies. Dormant status does not automatically remove the requirement to deliver annual accounts to Companies House. Some companies must continue to file a form of dormant accounts each year, and the exact requirements depend on the company's circumstances and any applicable exemptions.

Companies House and HMRC operate separate rules. For Companies House, dormancy focuses on whether the company has had significant accounting transactions and therefore whether simplified accounts may be filed. HMRC's dormancy test is concerned with Corporation Tax and whether the company is carrying on a trade, investment activity, or other taxable activity. A company can be dormant for Companies House but still have tax obligations, and you must notify HMRC separately about your Corporation Tax position.

A confirmation statement is separate from dormant company accounts. The penalty will depend on how late the accounts are and the company's circumstances. Filing dormant status does not automatically protect a company from these consequences.
