We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Company File Dormant Accounts in Herts?

A company may be considered dormant for Companies House purposes if it has no significant accounting transactions during the relevant financial year. This often applies to companies that have not yet started trading, have stopped trading, or are retained for future use. However, dormancy is not automatic simply because a company has no sales or is not currently active. The rules depend on the company’s individual circumstances, its constitution, and the applicable accounting and Companies House requirements. It is also important to understand that being dormant for Companies House purposes is different from being dormant for Corporation Tax with HMRC. A company that is dormant for accounting purposes may still need to file annual accounts and submit a confirmation statement, and it may also have separate HMRC reporting obligations. We can review your situation and explain what filings are actually required for your specific company.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are the annual accounts that a dormant company is required to prepare and file with Companies House. They show the company is dormant by including a statement that no significant accounting transactions occurred during the accounting period. Even if your company is dormant, the accounts must still meet the applicable legal and reporting requirements.

Yes, in most cases a dormant company is still required to file annual accounts with Companies House, even if it is dormant for accounting purposes. There are certain circumstances where an exemption might apply, but generally you will need to submit the required accounts by the statutory deadline. Filing dormant accounts is a distinct requirement from submitting a confirmation statement.

Some dormant companies may qualify as micro-entities and can use the simplified micro-entity reporting framework, but this is not automatic. Eligibility depends on the company's size, legal structure and accounting period. Dormancy and micro-entity status are separate issues. We can assess whether your dormant company qualifies for micro-entity accounts and prepare the correct documents.

Being dormant for Companies House purposes relates to your annual accounts filing and whether the company has significant accounting transactions. Being dormant for Corporation Tax purposes is a separate matter that HMRC determines based on your company's Corporation Tax position. Filing dormant accounts with Companies House does not automatically tell HMRC that the company is dormant for tax. Your company may need to formally notify HMRC and meet any ongoing obligations separately.

Yes, a confirmation statement is a separate filing that every company must submit to Companies House at least once every 12 months, unless an exemption applies. This includes dormant companies. The confirmation statement confirms that the information Companies House holds about your company is up to date, such as directors, registered office and shareholders. Filing dormant company accounts does not remove the need to file a confirmation statement.

If a dormant company does not file its annual accounts by the statutory deadline, Companies House may issue a late-filing penalty. Dormant status does not automatically protect a company from these consequences. If you have already filed late, the penalty may still be due, and the outstanding accounts must be filed as soon as possible. The specific penalties and any appeal options depend on the circumstances and the applicable Companies House rules.

To prepare dormant company accounts, we generally need details of the company's registered office, directors and shareholders, along with any balance sheet items that may exist, such as share capital. If the company has had no significant transactions, this can be quite straightforward. We will also confirm the exact accounting period and the company's eligibility for any simplified reporting frameworks. If you are missing historical documents, we can discuss what can be done.

If your dormant company has outstanding accounts that have not been filed, we can assist you in preparing and submitting the overdue documents once we have reviewed your company's records and circumstances. Late filing of dormant accounts is not something you should ignore. We will work with you to understand what is required, although we cannot guarantee that any penalties or late-filing consequences will be waived.
