Dormant company accounts are the annual accounts prepared for a company that is dormant for Companies House purposes. They are filed with Companies House to satisfy the company's statutory obligation to deliver accounts each year. Although the company may have had no significant financial transactions, the accounts must still be prepared in the applicable format and submitted by the company's filing deadline. We can help you prepare dormant company accounts that meet the required Companies House requirements.
Yes, in most cases. A company that is dormant for Companies House purposes is generally still required to file annual accounts, unless a specific exemption applies. Dormant status does not automatically remove the obligation to deliver accounts. The accounts may be simpler than those of an active company, but they still need to be filed on time to avoid late-filing consequences. Companies House and HMRC apply different tests for dormancy. A company may be dormant for Companies House because it has no significant accounting transactions, but HMRC may still expect Corporation Tax filings until it has confirmed that the company is dormant for tax purposes. Filing dormant company accounts with Companies House does not automatically inform HMRC or change your Corporation Tax position. Yes. Filing dormant company accounts does not replace the confirmation statement. Every incorporated company must usually send a confirmation statement to Companies House at least once every 12 months, even if it is dormant for accounting purposes. The confirmation statement confirms that the company's registered details are correct. It depends on the company's circumstances and its position with HMRC. A company that is dormant for Corporation Tax purposes may be able to stop filing returns, but only after HMRC has been notified and has confirmed that no further returns are needed.
