When Can a Company File Dormant Company Accounts in Havering?

A company may be able to file dormant company accounts if it has not had significant accounting transactions during the relevant period. Dormant company accounts are the statutory accounts that a limited company prepares and files with Companies House when it qualifies as dormant for accounting purposes. Although the company may have limited or no activity, its directors are still responsible for ensuring the appropriate accounts are prepared and delivered to Companies House within the relevant statutory timeframe, unless a specific exemption applies. The accounts follow the applicable reporting framework, which may be simpler than for a trading company, but they still need to meet legal requirements.

Yes, generally. A dormant company is not automatically exempt from filing annual accounts. In most cases, directors must still deliver dormant company accounts to Companies House each year, even if there are no transactions to report. This obligation continues until the company is dissolved, and the accounts must be filed by the company’s statutory deadline. There are some limited exemptions, but these depend on the company’s specific circumstances and should be checked before assuming that no filing is needed.

Not always. Some dormant companies may qualify as micro-entities under the Companies Act, and where they do, they may be able to take advantage of the simplified micro-entity reporting framework, including reduced filing requirements. However, micro-entity eligibility depends on factors such as turnover, balance sheet total, number of employees and other qualifying conditions. Dormant status and micro-entity status are separate concepts, and the appropriate accounts format should be confirmed with an accountant.

They are two different tests. A company may be dormant for Companies House purposes if it has no significant accounting transactions, whereas HMRCu2019s dormancy test for Corporation Tax is based on the company’s activity for Corporation Tax purposes and whether it receives any income or incurs any expenses. A company must notify HMRC if it believes it is dormant for Corporation Tax, and HMRC may then agree that Corporation Tax Returns are no longer needed. This is separate from filing annual accounts with Companies House, and both sets of obligations need to be considered.

Yes. A confirmation statement is a separate requirement from dormant company accounts. It must be submitted to Companies House at least once every 12 months, confirming the company’s registered office, directors, shareholders and other relevant information. Filing dormant accounts does not remove the need to maintain the company’s information on the public register or to submit a confirmation statement where required.

It depends. A company that is dormant for Corporation Tax purposes may still need to notify HMRC, and after HMRC agrees that Corporation Tax Returns are no longer required, the company may not need to file CT600 returns. However, this depends on the company’s tax history, whether it has received income or incurred expenses, and other factors. Directors should always check with HMRC or an accountant before assuming that Corporation Tax filings can stop. Filing dormant accounts with Companies House does not automatically affect the company’s Corporation Tax position.

If statutory accounts are not filed by the applicable deadline, Companies House may issue late-filing penalties, even if the company is dormant. The penalty amount depends on the time elapsed after the deadline and whether the accounts are filed at all. Dormant status does not automatically protect a company from these penalties. If accounts are already overdue, we can review the circumstances, help prepare the outstanding accounts and assist with submitting them, but we cannot guarantee that a penalty will be reduced or withdrawn.
