I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Are Dormant Company Accounts Relevant for Hatton Garden Companies?

A company may be considered dormant for accounting and Companies House purposes if it has had no significant accounting transactions during the period. This can include companies that have not yet started trading, companies that have stopped trading, holding companies, or those retained for future use. However, dormancy is not simply a matter of having no sales or not currently trading. The rules depend on your company’s specific circumstances, structure and the applicable accounting framework. Importantly, being dormant for Companies House purposes does not automatically remove the need to file annual accounts or a confirmation statement. It is also separate from HMRC’s Corporation Tax treatment of dormancy. Filing accounts with Companies House does not notify HMRC that a company is dormant for tax purposes. We recommend a careful review of your company’s position before deciding on the correct approach.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are annual accounts prepared for a company that has been dormant during the relevant accounting period. They are filed with Companies House where required, and they must meet the applicable statutory requirements. Even though a company may have had little or no financial activity, the accounts still need to be accurate and submitted on time. Depending on eligibility, some dormant companies may be able to use a simplified reporting framework, such as micro-entity accounts, but not all dormant companies automatically qualify.

Yes, in most cases. A dormant company is generally still required to file annual accounts with Companies House, unless a specific exemption applies. Dormancy does not remove the company's filing obligations. The company remains on the register and must comply with the applicable rules. The exact accounts required can depend on the company's size, type and whether it meets the definition of dormancy under the Companies Act.

Some dormant companies may also qualify as micro-entities, but the two are not the same thing. Micro-entity status depends on meeting certain size thresholds, and the company must qualify for the micro-entity accounting framework under company law. A dormant company that meets the relevant conditions may be able to file micro-entity accounts, but this is not automatic. Your accountant can confirm whether the micro-entity framework applies to your company's circumstances.

Being dormant for Companies House purposes relates to accounts filed at Companies House and means the company has had no significant accounting transactions required to be reported. HMRC's separate test for Corporation Tax dormancy is based on a company's tax position. A company might be dormant for Companies House but still be within the scope of Corporation Tax, for example if it has received income or has other taxable activity. Filing dormant accounts with Companies House does not automatically tell HMRC that the company is dormant. You may need to notify HMRC separately and, where applicable, continue to file Corporation Tax Returns until HMRC confirms otherwise.

Yes. A confirmation statement is filed with Companies House and is separate from annual accounts. Dormant companies must generally keep their information on the public register up to date and submit a confirmation statement when it is due. Filing dormant accounts does not replace the confirmation statement. We can help you understand your obligations and ensure both are handled correctly.

It depends on the company's Corporation Tax position and whether HMRC has accepted that the company is dormant for tax purposes. A company that is dormant for Corporation Tax may need to notify HMRC and may not need to file further Corporation Tax Returns once HMRC has confirmed that this is no longer required. However, you should not assume that Companies House dormancy automatically suspends Corporation Tax obligations. Our team can help you determine what applies to your situation and communicate with HMRC where appropriate.

If accounts are not filed by the applicable statutory deadline, the company may receive a late-filing penalty from Companies House. Dormant status does not automatically protect a company from penalties. Each case depends on the circumstances and the company's filing history. If your accounts are already late, paying a penalty does not remove the obligation to file the outstanding accounts. We can assist in bringing your company's record up to date and reviewing your position, although we cannot guarantee that a penalty will be reduced or withdrawn.

Yes. If your dormant company has missed one or more filing deadlines, we can help you prepare the outstanding accounts and file them at Companies House. We can also review your current compliance status, including confirmation statements and Corporation Tax matters. Acting promptly can help prevent further consequences, but we cannot guarantee the outcome of any late filing or penalty appeal. We will work with you to resolve the position as smoothly as possible.
