Dormant company accounts are the annual accounts that an eligible company prepares for Companies House when it has had no significant accounting transactions during the accounting period. They are filed to show that the company has been dormant. Not every dormant company is exempt from filing accounts, and the required format depends on the company's circumstances and whether it qualifies for a simplified reporting regime.

In most cases, yes. A dormant company is not automatically exempt from filing its annual accounts. The company must still deliver the required accounts to Companies House by the applicable deadline, unless a specific exemption applies. Dormant status also does not remove the need to keep the company's register information up to date or submit a confirmation statement when one is due.

Some dormant companies may also qualify as micro-entities under the Companies Act. If they do, they may be able to use the simplified micro-entity reporting framework, including FRS 105.
