When Can You File Dormant Company Accounts?

A company may be able to file dormant company accounts with Companies House if it has not had any significant accounting transactions during the accounting period. For Companies House purposes, dormancy is normally based on the company’s activity in the period, not on whether it has generated sales. A newly incorporated company that has not yet started trading may be dormant, and a company that has stopped trading may also qualify, depending on the rules. However, dormancy does not automatically remove the need to file annual accounts or to submit a confirmation statement. They are generally simpler than full accounts but must still show a balance sheet and comply with the statutory requirements. Dormancy for Companies House normally means the company has no significant accounting transactions in the period, but it does not remove the obligation to file accounts unless a specific exemption applies.
