I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

I had a positive experience with Accotax. The work was completed promptly, my tax return was successfully filed, and I received a refund of overpaid tax. I found the cooperation efficient and helpful. Special thanks to Muhammad Saifullah for his assistance.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Company Prepare Dormant Accounts?

A company may be considered dormant for Companies House purposes if it has no significant accounting transactions during the accounting period. This can apply to companies that have not yet started trading, have stopped trading, or are held ready for future use. However, dormancy is not simply about having no sales or no customers — it depends on the statutory rules and the exact circumstances of your company. Even where a company qualifies as dormant, it is not automatically exempt from filing obligations; the necessary annual accounts may still need to be prepared and delivered to Companies House unless a specific exemption applies. In addition, dormancy for Companies House is separate from dormancy for HMRC Corporation Tax purposes. A company that is dormant for accounting purposes may still have Corporation Tax obligations, and HMRC must be notified separately if the company is dormant for tax purposes and wishes to stop filing Corporation Tax Returns. Our team can review your company’s situation and confirm whether dormant company accounts are appropriate for your Hadleigh business.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are annual accounts prepared for a limited company that qualifies as dormant under the Companies Act 2006. They are filed with Companies House where required. Dormant accounts show that a company has had no significant accounting transactions during the period, but they must still meet the applicable statutory format. For many dormant companies, simplified filing options may be available.

Yes, in most cases. Being dormant does not automatically remove the requirement to file annual accounts with Companies House. Unless a specific exemption applies, a dormant company must still deliver its statutory accounts each year. The accounts may be simpler than those of an active company, but the filing obligation remains. Our accountants can confirm what applies to your company.

Some dormant companies may qualify as micro-entities and can use the micro-entity reporting framework, provided they meet the statutory criteria. However, dormancy and micro-entity status are not the same. A company might be dormant but not meet the micro-entity size criteria, or it may qualify as a micro-entity but not be dormant. We can assess your company's eligibility and prepare accounts under the appropriate framework.

Dormancy for Companies House is based on the company's accounting transactions and determines the form of accounts to file. Dormancy for Corporation Tax is a separate status that HMRC applies, based on whether a company has any taxable income or activity. A company can be dormant for Companies House but still be active for Corporation Tax, and vice versa. You must notify HMRC separately if you believe your company is dormant for Corporation Tax, and a CT600 may still be required unless HMRC confirms otherwise.

Yes, a confirmation statement is a separate requirement from annual accounts. A dormant company must still file a confirmation statement at least once every 12 months to confirm its registered details are up to date. Filing dormant accounts does not replace this obligation, and Companies House information such as directors, registered office and shareholders must be kept current.

Not always. If a company is dormant for Corporation Tax and HMRC has been notified, HMRC may issue a notice that no further Company Tax Returns are required. However, until HMRC confirms this, a CT600 may still be needed. It is important to distinguish between Companies House dormancy and HMRC dormancy. Our team can help you liaise with HMRC and confirm your ongoing obligations.

If required accounts are filed after the deadline, Companies House may issue a late-filing penalty. The amount depends on how late the accounts are and can apply even to dormant companies. Dormancy does not provide automatic protection from late-filing penalties. If you have missed a deadline, it is important to file as soon as possible and consider whether a penalty appeal is appropriate based on the circumstances.

To prepare dormant company accounts, we generally need details of the company's registered office, directors, shareholders and any transactions that have occurred during the period. Even a dormant company may have incidental transactions, such as payment for a filing fee. Our accountants will confirm exactly what information is required and handle the preparation and submission to Companies House on your behalf.
