When Can a Company File Dormant Accounts in Guildford?

Dormant company accounts are the annual accounts a company files with Companies House for an accounting period in which it had no significant accounting transactions. They are simplified accounts, but they are still statutory accounts and must meet the applicable filing requirements. Filing dormant company accounts does not remove other obligations, such as submitting a confirmation statement or addressing any Corporation Tax matters with HMRC.

Generally, yes. A company that is dormant for Companies House purposes is still required to file annual accounts unless a specific exemption applies. Dormancy does not mean there are no filing obligations. In fact, the need to file dormant company accounts is common. If you are unsure whether your company falls within an exemption, it is advisable to check the relevant guidance or speak with an accountant.

Some dormant companies may also qualify as micro-entities, but dormancy and micro-entity status are not the same. If your company qualifies for the micro-entity reporting framework, it may be able to file accounts under that simplified framework, subject to the applicable size and eligibility requirements. Companies House and HMRC apply different tests for dormancy. A company can be dormant for Companies House purposes while still being required to file Corporation Tax Returns with HMRC, and vice versa. The company's Corporation Tax position must be considered separately.

Yes, in most cases. A confirmation statement is separate from dormant company accounts. It keeps Companies House up to date with information about your company's directors, shareholders, registered office and other statutory details. Dormancy does not remove the need to file a confirmation statement when it becomes due.

It depends. If a company is dormant for Corporation Tax purposes and HMRC has confirmed that returns are no longer required, then further Corporation Tax Returns may not be needed. Otherwise, you may still need to file a return for the relevant accounting period. HMRC's requirements depend on the company's particular circumstances and any action taken to notify HMRC of the dormant status.

Companies House may issue a late-filing penalty if the accounts are not submitted by the relevant filing deadline. Dormant status does not automatically prevent a penalty. The amount depends on how late the accounts are and the company's specific situation. If you have missed a deadline, it is advisable to file the outstanding accounts as soon as possible and, where appropriate, consider an appeal based on the applicable rules.
