When Can You File Dormant Company Accounts in Greenwich?

A company may be able to prepare dormant company accounts when it has no significant accounting transactions during the period and meets the conditions set out by Companies House. However, dormancy is not the same as having no sales, no staff or no trading activity. A company that has not yet started trading or has stopped trading can still have other accounting transactions that prevent it from being dormant under the relevant rules. When a company is dormant for Companies House purposes, it still has to deliver the required annual accounts unless an exemption applies, and it may still need to submit a confirmation statement. Separately, HMRC applies its own definition when deciding whether a company is dormant for Corporation Tax. Dormant company accounts are accounts prepared for a company that is dormant for accounting purposes and are intended to meet Companies House filing requirements. They do not mean that the company has no reporting duties. Unless a specific exemption applies, the accounts still need to be prepared and filed with Companies House. For eligible companies, dormant accounts may be simpler than full statutory accounts.

In most cases, yes. A dormant company generally still has to file its annual accounts at Companies House, even if it is not trading. If the company is eligible, the filing can be more straightforward, but the statutory obligation only disappears where a genuine exemption applies. We can prepare and file dormant company accounts on your behalf.

Some dormant companies may also qualify as micro-entities and therefore be able to use the micro-entity reporting framework. That depends on the company's size and eligibility, not simply on whether it is dormant. The two concepts are separate. We can review whether your circumstances allow the micro-entity approach to be used when preparing the accounts.

Companies House and HMRC have separate definitions and reporting requirements. A company can be considered dormant by Companies House while HMRC still expects it to deal with Corporation Tax. Similarly, HMRC may treat a company as dormant for Corporation Tax in some circumstances, but the company may still need to submit a confirmation statement to Companies House. We can help clarify your position and complete the forms each authority expects.

Usually, yes. A confirmation statement is separate from dormant company accounts and keeps the company's record at Companies House up to date. Dormant companies may still have a registered office, directors and shareholders that need to be confirmed. Filing dormant accounts does not replace the confirmation statement requirement. We can support you with both.

It depends on the company's Corporation Tax position and HMRC's rules. If HMRC has accepted that the company is dormant for Corporation Tax, it may no longer need to send CT600 Returns. If HMRC has not confirmed this, returns may still be required. Filing dormant accounts at Companies House does not automatically remove this duty. We can review your position and help you decide the right step.

Companies House does not assume that dormant accounts are exempt from late-filing consequences simply because the company is not trading. If required accounts arrive after the deadline, late penalties may apply and can depend on how late delivery is. Paying a penalty does not remove the need to file the outstanding accounts. If there has been an exceptional reason for the delay, we can help you consider whether an appeal is possible under the applicable Companies House rules.
