We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can You File Dormant Company Accounts in Gorseinon?

A company may be able to file dormant company accounts if it is dormant for Companies House purposes. Broadly, this means it has no significant accounting transactions in the relevant accounting period, such as sales, income, expenditure or other entries affecting the accounting records. However, dormancy is not simply the absence of trading activity. A company must also meet the specific rules that apply to its circumstances. Even where dormant accounts are filed, the company generally continues to have other obligations, including filing a confirmation statement and, where applicable, dealing with HMRC separately. HMRC’s dormancy test for Corporation Tax can differ from the Companies House position. Some dormant companies are required to file annual accounts with Companies House unless a specific exemption applies, while Corporation Tax treatment depends on whether HMRC has accepted that no further returns are required. We can explain the distinction and help you prepare the correct documents for your company in Gorseinon.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are annual accounts prepared for a limited company that is dormant during the relevant accounting period. They are filed with Companies House where required and are simpler than full trading accounts. A company can be dormant for Companies House purposes if it has no significant accounting transactions in the period. Preparing dormant accounts does not automatically deal with all other obligations, such as the confirmation statement or Corporation Tax matters.

Yes, in most cases. A dormant company usually still needs to deliver annual accounts to Companies House, although the form and content may be simpler depending on the company's size and eligibility. Dormant status does not remove the filing obligation automatically. It is important to check the requirements for the company's particular situation and filing period.

Some dormant companies may qualify to prepare their accounts under the micro-entity framework, but dormancy and micro-entity status are not the same thing. A company must satisfy the eligibility conditions for micro-entity reporting. Where a dormant company also qualifies, we can prepare accounts using the appropriate framework and file them with Companies House.

Companies House and HMRC look at dormancy in different ways. A company may be considered dormant for Companies House because it has no significant accounting transactions, but HMRC's rules for Corporation Tax dormancy are separate. A company may need to notify HMRC if it believes it is dormant for Corporation Tax, and HMRC may need to confirm that Corporation Tax Returns are no longer required. Filing dormant accounts with Companies House does not automatically tell HMRC about the company's tax position.

Yes, unless the company is exempt. A confirmation statement is a separate requirement from annual accounts and is filed with Companies House. It confirms the company's registered office, directors, shareholders and other information. Dormant company status does not replace the confirmation statement, and the company should keep its Companies House information up to date.

It depends. A company that is dormant for Corporation Tax may be able to stop filing Corporation Tax Returns if HMRC has agreed and confirmed that a return is no longer required. This is separate from filing dormant accounts with Companies House. The company should notify HMRC and follow the applicable rules. If HMRC requires a return, the company will need to deal with it.

To prepare dormant company accounts, we need the company's name, company registration number, accounting period dates and details of any transactions or entries that may affect dormancy. We may also ask about the company's previous accounts, any share activity, and whether the company is entitled to a Companies Act exemption. With this information, we can prepare accounts that meet the applicable requirements.

Yes. If a dormant company has missed one or more filing deadlines, we can review the company's position and help prepare the outstanding accounts for filing with Companies House. This may involve more than one year of accounts and should be handled carefully. Late-filing penalties may apply, and preparing the required documents does not automatically remove penalties or guarantee that a penalty appeal will sì³®d.
