I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I had a positive experience with Accotax. The work was completed promptly, my tax return was successfully filed, and I received a refund of overpaid tax. I found the cooperation efficient and helpful. Special thanks to Muhammad Saifullah for his assistance.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Godstone Company File Dormant Company Accounts?

Under the rules used by Companies House, a company may be considered dormant for accounting purposes if it has no significant accounting transactions during the relevant period. In practice, this can include companies that have not yet started trading, companies that have stopped trading, and holding companies that have no activity other than that permitted by the applicable regulations. However, a company does not become dormant simply because it has no sales, no customers or no current trading activity. Dormant status depends on the company’s particular circumstances and the relevant statutory requirements. Even where a company is dormant for Companies House purposes, it generally still needs to file the required annual accounts and must keep its confirmation statement up to date. For companies in Godstone, the same rules apply. Dormancy for Corporation Tax purposes is separate, and HMRC may continue to expect Corporation Tax Returns unless the company has been formally notified and HMRC has confirmed a return is no longer required. If you are uncertain whether your company qualifies as dormant, we can review your circumstances and help you understand the appropriate steps.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are annual accounts prepared for a company that is dormant for Companies House purposes. They confirm that the company had no significant accounting transactions during the financial year and meet the applicable statutory filing requirements. Dormant company accounts are typically much simpler than full statutory accounts, but they still need to be prepared correctly and filed with Companies House by the due date.

Yes, in most cases a dormant company still needs to file annual accounts with Companies House. Dormant status does not generally remove the obligation to file accounts unless a specific exemption applies. Failing to file the required accounts on time can lead to late-filing consequences, regardless of the company's dormant status. We can prepare and file the appropriate dormant accounts for your company.

Some dormant companies may also qualify as micro-entities and can use the micro-entity accounting framework, including FRS 105 where applicable. However, dormancy and micro-entity status are determined separately, and not every dormant company qualifies as a micro-entity. The company's size, legal structure and accounting period must all be considered. We can assess your eligibility and advise on the most suitable reporting framework.

A company can be dormant for Companies House purposes and still be active for Corporation Tax, or vice versa. Companies House dormancy relates to the annual accounts and confirmation statement, while HMRC looks at whether the company has any Corporation Tax liability or activity. If a company is dormant for Corporation Tax purposes, it may be able to notify HMRC and stop filing CT600 returns, but only once HMRC has confirmed this is no longer required. Filing dormant accounts with Companies House does not automatically update HMRC.

Yes, a confirmation statement is a separate requirement from the annual accounts. Even a dormant company must keep its Companies House information up to date and submit a confirmation statement at least once every 12 months, unless an exemption applies. We can support you with confirmation statement preparation so this obligation does not slip.

That depends on whether the company is dormant for Corporation Tax purposes and whether HMRC has agreed that no further returns are required. If the company has already notified HMRC of its dormancy and HMRC has confirmed that it does not need to file Corporation Tax Returns, then no CT600 return is needed for that period. Otherwise, the company may still be required to submit a return. We can help you understand your Corporation Tax obligations and deal with HMRC where needed.

If the required annual accounts are not filed by the applicable Companies House deadline, the company may be subject to late-filing penalties. These penalties are automatic and can apply even where the company is dormant. If the accounts are already overdue, the best course of action is to file them as soon as possible to prevent further consequences. We can help bring overdue dormant accounts up to date and provide clear guidance on the filing process.

To prepare dormant company accounts, we typically need the company's details, including the registered number, registered office address, and the dates of the financial year. We may also need information about any permitted transactions, such as share issues, and confirmation from the directors that no other significant accounting transactions occurred during the year. We cannot prepare the accounts without your confirmation and authorisation, as directors are responsible for the accuracy of the information.
