Dormant company accounts are statutory annual accounts prepared for a company that is dormant for Companies House purposes. They show that the company has had no significant accounting transactions during the period and usually include a balance sheet and certain notes. Preparing dormant accounts does not mean the company can ignore its filing obligations — the accounts still need to meet the relevant Companies House requirements and be filed by the applicable deadline.
Yes, in most cases. A company that is dormant for Companies House purposes generally still needs to file annual accounts, unless a specific exemption applies. Being dormant does not automatically remove the requirement to file. Additionally, a confirmation statement may still be required to keep the company's registered information up to date. Some dormant companies may qualify as micro-entities and therefore be able to use the micro-entity reporting framework, subject to the applicable eligibility requirements. These are two separate concepts. A company can be dormant for Companies House purposes because it has no significant accounting transactions, yet still be active for Corporation Tax. Conversely, a company may be dormant for HMRC if it has no income or chargeable gains, but it still needs to meet its Companies House filing requirements. Filing dormant company accounts with Companies House does not automatically notify HMRC that the company is dormant. HMRC has its own rules and must be contacted separately where applicable.
Yes, a dormant company is generally still required to file a confirmation statement with Companies House at least once a year, unless it is exempt. The confirmation statement is separate from dormant company accounts and confirms that the company's registered details are correct. It must be filed even if the company is dormant and is not trading.
It depends on the company's Corporation Tax position. If HMRC has confirmed that the company is dormant for Corporation Tax purposes, it may not need to file further CT600 returns, subject to the applicable rules.
