We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Gatwick Limited Company File Dormant Company Accounts?

A company may be able to file Dormant Company Accounts when it is dormant for Companies House and accounting purposes. In broad terms, this often applies to companies that have not yet started trading, have stopped trading, or have no significant accounting transactions during the accounting period. Holding companies and property SPVs may also be dormant if their own circumstances and legal structure meet the relevant tests. Being dormant is not simply the same as having no sales or no current activity. Dormancy depends on the nature of the company’s transactions and the applicable accounting and Companies House rules. It is also possible for a company to be dormant for Companies House purposes but not dormant for Corporation Tax with HMRC, so directors in Gatwick should review both sets of obligations before assuming all filing has ended. Even where a company is dormant, annual accounts may still need to be filed with Companies House and a confirmation statement may still be due. Our team can help you establish whether your particular company qualifies and, if so, prepare and file the appropriate accounts.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant Company Accounts are annual accounts prepared for a limited company that is dormant for Companies House and accounting purposes. They reflect that the company has had no significant accounting transactions during the relevant period. However, a dormant company still generally needs to file these accounts with Companies House unless a specific exemption applies.

Yes, in most cases a dormant company still needs to file annual accounts with Companies House. Dormancy does not remove the filing requirement. The company must prepare accounts that meet the applicable Companies House requirements and file them by the relevant deadline. We can review your situation and help you prepare the appropriate dormant company accounts.

A dormant company may be able to use the micro-entity reporting framework if it qualifies as a micro-entity and is eligible under the applicable rules. Dormancy and micro-entity status are separate. Whether you can prepare micro-entity accounts depends on the company’s size, legal form and accounting period. An accountant can confirm the correct framework for your company.

A company can be dormant for Companies House purposes while HMRC still expects Corporation Tax returns, or vice versa. Companies House dormancy relates to whether the company has significant accounting transactions, whereas HMRC dormancy for Corporation Tax is based on its own criteria and must be notified to HMRC separately. Filing dormant company accounts with Companies House does not automatically tell HMRC that the company is dormant for tax purposes.

Yes. A confirmation statement is a separate Companies House requirement. Even if a company is dormant, it must usually submit a confirmation statement at least once every 12 months and keep its registered details up to date. Preparing dormant company accounts does not replace the confirmation statement obligation.

It depends. If HMRC has agreed that the company is dormant for Corporation Tax, it may not need to file further CT600 returns while its circumstances remain unchanged. If the company is not dormant for Corporation Tax purposes, it may still need to file any required returns and pay applicable tax. This is determined by HMRCu2019s rules and the company’s own circumstances.

If required dormant company accounts are submitted after the Companies House deadline, the company may be liable to a late-filing penalty. A dormant company is not automatically protected from late-filing penalties. Paying a penalty does not remove the need to file the outstanding accounts. If you have missed a filing deadline, we can help you bring the filings up to date and, where possible, review whether an appeal might be appropriate.

Yes. A company that has been incorporated but has not started trading can be dormant for Companies House purposes if it has no significant accounting transactions. We can help you prepare and file the relevant dormant company accounts in Gatwick for the period since incorporation or since the last accounting period. We can also advise on the confirmation statement and Corporation Tax position.
