When Can a Company File Dormant Company Accounts in Eastleigh?

Dormant company accounts are annual accounts prepared for a company that is dormant for accounting purposes under the Companies Act. They show that the company has had no significant accounting transactions during the period, and they must be delivered to Companies House where required. Even though the company is dormant, the accounts still need to meet the applicable statutory requirements.

Generally, yes. A company that is dormant for Companies House purposes is usually still required to file annual accounts, unless a specific exemption applies to its particular circumstances. Dormant status does not mean that a company can ignore its filing obligations. We can advise on whether your company needs to file and, if so, we can help prepare the accounts correctly.

Yes, in most cases. A confirmation statement is a separate requirement from annual accounts. Even if a company is dormant, it must generally keep its information up to date at Companies House and file a confirmation statement at least once every 12 months. Filing dormant company accounts does not replace the confirmation statement.

They are separate tests. A company can be dormant for Companies House purposes if it has no significant accounting transactions, while HMRC's test for Corporation Tax dormancy is different. A company that is dormant for Corporation Tax may need to notify HMRC and may not need to file further Corporation Tax Returns once HMRC confirms this, subject to the relevant rules. Filing dormant accounts with Companies House does not automatically tell HMRC that the company is dormant.

Not necessarily. A company that is dormant for Corporation Tax purposes may be able to stop filing Corporation Tax Returns after notifying HMRC and receiving confirmation that no return is required.
