When Can East Midlands Companies File Dormant Company Accounts?

A company is not automatically dormant simply because it has no sales or is not yet trading. For Companies House purposes, dormancy generally means the company has had no significant accounting transactions during the relevant period. A company that has stopped trading, has not yet started trading, or is being retained for future use may therefore be able to file dormant company accounts if it meets the applicable conditions. Dormant status under Companies House rules does not mean the company is exempt from all filing duties. The company will normally still need to file its annual accounts and keep its confirmation statement up to date. Separately, HMRC has its own definition of dormancy for Corporation Tax. A company that is dormant for Companies House purposes may or may not be dormant for Corporation Tax, and HMRC should be notified where appropriate. Failing to understand these different tests can lead to unnecessary penalties, so it is important to review the circumstances of your East Midlands company before assuming no filing is needed.

They confirm that the company has had no significant accounting transactions in the period, and they need to meet the relevant statutory requirements. Dormant accounts are not simply 'no accounts'; they still need to be prepared and submitted on time.

Yes, in most cases. Unless a specific exemption applies, a dormant company must still file its annual accounts with Companies House. Dormant status does not remove the requirement to file accounts, and failing to do so can lead to late-filing penalties. The type of accounts required will depend on the company's size, eligibility and reporting framework, but the filing obligation generally remains.

Companies House and HMRC apply different tests for dormancy. A company may be dormant for Companies House if it has no significant accounting transactions, but HMRC may still expect Corporation Tax filings unless the company has been formally notified as dormant for tax purposes. Filing dormant accounts with Companies House does not automatically inform HMRC. You should consider both sets of obligations separately.

Yes. A confirmation statement is a separate filing requirement under Companies House, and dormancy does not exempt a company from submitting it. The confirmation statement confirms that the company's registered details are correct, and it must be filed at least once a year. Preparing dormant company accounts does not replace this requirement.

Some dormant companies may qualify for the micro-entity reporting framework, which allows for simpler accounts. However, dormancy and micro-entity status are different concepts. A dormant company is not automatically a micro-entity, and whether the micro-entity framework applies depends on the company's eligibility and accounting period.
