Dormant company accounts are the annual accounts a company prepares and files with Companies House when it is dormant for accounting purposes. They confirm that the company had no significant accounting transactions during the relevant period. These accounts must meet the applicable Companies House requirements, and a company cannot simply ignore its filing obligation.

Yes, in most cases. A dormant company is generally still required to file annual accounts with Companies House each year, unless a specific exemption applies. Filing dormant accounts is a statutory obligation that keeps the company on the register and avoids penalty notices. Your company's circumstances will determine which accounts format is appropriate.

Some dormant companies may also qualify as micro-entities and can therefore prepare and file accounts under the micro-entity reporting framework, such as FRS 105. However, dormancy and micro-entity status are not the same. Eligibility depends on the company's size, legal structure and accounting period. A qualified accountant should confirm which framework applies.

Companies House and HMRC use different definitions and processes. A company may be dormant for Companies House if it has no significant accounting transactions, but HMRC's dormancy rules for Corporation Tax are separate. Yes. A confirmation statement is separate from dormant company accounts and is required by Companies House at least once every 12 months. It confirms your registered office address, directors, shareholders and other statutory information. Filing dormant accounts does not replace the need to submit a confirmation statement.

Not necessarily. If HMRC has agreed that a company is dormant for Corporation Tax purposes, it may be exempt from filing CT600 Corporation Tax Returns for periods covered by that arrangement. However, dormancy for Companies House does not automatically apply for Corporation Tax. You should notify HMRC and follow their guidance to confirm whether returns are required.

If required dormant company accounts are submitted late, Companies House may issue a late-filing penalty. Dormant status does not automatically protect a company from penalties, and each case is treated on its own facts.
