Dormant company accounts are the statutory annual accounts prepared for a company that is dormant for Companies House purposes. They are submitted to Companies House to satisfy the company's annual filing requirement. Even though the company has no significant accounting transactions, the accounts must still meet the applicable legal format and may include a balance sheet and notes. A dormant company does not simply submit a blank form.
Yes. A dormant company must generally still deliver annual accounts to Companies House unless a specific exemption applies. Being dormant does not remove the legal requirement to file. The accounts may be simplified, but they still need to be prepared and filed before the company's statutory deadline. If you are unsure whether an exemption applies, it is important to check with an accountant.
Some dormant companies may qualify as micro-entities and use the micro-entity accounting framework. Micro-entity status and dormancy are separate conditions. A company must meet the relevant size criteria and other legal requirements to be a micro-entity. If it qualifies, it may be able to prepare accounts under the micro-entity provisions, but this is not automatic. An accountant can confirm whether your Dumfries company is eligible.
Companies House and HMRC use different definitions and rules. A company is dormant for Companies House purposes if it has no significant accounting transactions, but that is determined under the Companies Act. For Corporation Tax, dormancy is judged by HMRC's own criteria. A company can be dormant for Companies House but still need to notify HMRC and potentially file Corporation Tax Returns unless HMRC has agreed that returns are no longer required. Filing dormant accounts with Companies House does not automatically inform HMRC about the company's Corporation Tax status.
Yes, in most cases. Filing dormant accounts does not replace the confirmation statement. A dormant company must keep its registered details up to date and submit a confirmation statement to Companies House at least once every 12 months. The confirmation statement is separate from the annual accounts and confirms information such as directors, registered office and shareholders.
It depends on the company's Corporation Tax position. If a company is dormant for Corporation Tax purposes and HMRC has been notified accordingly, HMRC may confirm that Corporation Tax Returns are no longer required. Until then, the company may still have to file CT600 returns. Dormancy for Companies House does not automatically stop Corporation Tax obligations. HMRC's rules are separate, and an accountant should confirm what is required in your case.
Late filing can lead to automatic penalties from Companies House, even for dormant companies. The penalty amount depends on how late the accounts are and the company's filing record; it is not a fixed sum for every company. If your accounts are already overdue, filing them promptly is essential. A penalty appeal may be possible only where the circumstances meet Companies House rules, but not every case qualifies. An accountant can advise on regularising the position.
