Dormant company accounts are statutory accounts prepared for a company that is dormant during the relevant accounting period. They are filed with Companies House and show that the company has had no significant accounting transactions. Dormant accounts are typically a simplified balance sheet and any required notes. Companies that meet the eligibility criteria may also file under the micro-entity framework. Micro Entity Accounts can prepare these accounts on behalf of your Donington limited company, ensuring they are ready for submission.

Yes. A dormant company generally still has to file annual accounts with Companies House unless a specific exemption applies. Dormancy does not remove the filing obligation. Yes. A confirmation statement is separate from dormant company accounts. Most companies, including dormant ones, must file a confirmation statement at least once every 12 months to confirm that Companies House information is up to date. Dormancy does not remove this requirement. We cannot file a confirmation statement for you until you have reviewed and confirmed the company's information, but we can guide you on what is needed.

If a dormant company files its accounts late, Companies House may issue a late-filing penalty. Dormant status does not protect a company from penalties. The amount of the penalty depends on the circumstances and how late the accounts are filed. If a penalty has already been issued, there may be scope to appeal in certain situations, such as an event beyond the company's control, but eligibility is not automatic. We recommend filing as soon as possible if accounts are overdue.
