When Can a Dingwall Company Use Dormant Accounts?

A company may be able to prepare dormant accounts if it has not traded and has had no significant accounting transactions during the relevant period, or if it has stopped trading and has no subsequent activity that would prevent dormancy. Being dormant for Companies House purposes is not the same as being inactive for other reasons. A company with no sales, customers or employees is not automatically dormant; the applicable accounting and Companies House rules determine whether dormant treatment is appropriate. It is also important to understand that dormancy for Companies House purposes is separate from dormancy for Corporation Tax purposes. HMRC has its own rules, and a company might be dormant for Companies House while still having Corporation Tax obligations, or vice versa. Filing dormant accounts with Companies House does not automatically update HMRC about the company’s Corporation Tax position. In some cases, HMRC may need to be notified separately before Corporation Tax reporting obligations change. Even where dormant accounts are appropriate, the company generally still has to file its annual accounts and keep its Companies House information up to date with a confirmation statement. Dormant status does not remove those obligations, and the company remains incorporated until it is formally dissolved.

Dormant company accounts are the annual accounts that a company prepares and files with Companies House when it qualifies as dormant for accounting purposes. They are not a way to avoid filing altogether. The accounts confirm that the company had no significant accounting transactions during the period, and they must satisfy the reporting requirements that apply to the company. Certain exemptions may reduce what needs to be included, but this depends on the company's circumstances.

Generally, yes. A company that is dormant for Companies House purposes is still required to file annual accounts unless a specific exemption applies. Dormant status does not remove the filing requirement. If the company is also eligible for a simpler reporting framework, the accounts may be shorter, but they still need to be filed with Companies House by the annual deadline.

Some dormant companies may qualify for the micro-entity reporting framework, but dormancy does not automatically make a company a micro-entity. Eligibility depends on factors such as the company's size, turnover, balance sheet total and number of employees. If the company qualifies, the micro-entity accounts can be prepared under FRS 105. We can review your circumstances and help you understand which framework applies.

Companies House and HMRC use different tests for dormancy. A company may be dormant for Companies House because it has no significant accounting transactions, but HMRC may still expect Corporation Tax obligations to be dealt with, depending on the company's circumstances. The reverse can also be true. Filing dormant accounts with Companies House does not automatically tell HMRC that the company is dormant for Corporation Tax purposes, and separate notification to HMRC may be needed where applicable.

Yes. The confirmation statement is separate from dormant company accounts and must be filed with Companies House even if the company is dormant. It is generally required once every 12 months to confirm that the company's registered information is correct. Filing dormant accounts does not remove the need to submit a confirmation statement.

To prepare dormant company accounts, we usually need the company's details, its registered office address, director and shareholder information, and confirmation that no reportable transactions occurred during the period. We also need to know whether the company qualifies for any exemption. If the company has previously traded, we may need prior year accounts. We can advise on whatever documentation is required.
