They report that the company has had no significant accounting transactions during the period, and they are filed with Companies House in the format and framework that apply to the company. Even a dormant company usually needs to file accounts if it is required to do so.

Yes, in most cases. Dormancy does not remove the filing obligation. A company that is dormant for accounting purposes must still file the annual accounts that apply to it – often using the micro-entity or dormant-company format – unless a specific exemption applies. If accounts are filed late, Companies House may issue late-filing penalties, so it is important to check the company's filing deadline.

Some dormant companies may also qualify as micro-entities and can file accounts under the micro-entity reporting framework, which requires less detail. However, not every dormant company automatically meets the micro-entity size criteria. Eligibility depends on factors such as turnover, balance sheet totals and employee numbers.
