When Can a Company File Dormant Company Accounts in Dalkeith?

They are filed with Companies House where required and typically contain a balance sheet and certain notes, but not a profit and loss account if the company has no significant transactions. 'Dormant' for accounts purposes is defined under the relevant Companies House rules, not simply by whether the company is trading or generating income.

Yes, in most cases. A dormant company is not exempt from filing annual accounts simply because it is dormant. Unless a specific exemption applies, the company must still deliver its accounts to Companies House each year. The style of accounts may be simplified, but the filing obligation remains. Our accountants can confirm what applies to your company well before the filing deadline.

It depends. Some dormant companies qualify as micro-entities under the Companies Act framework and may therefore use the micro-entity reporting format, which is a simplified form of accounts. Yes. A confirmation statement is separate from dormant company accounts. Most dormant companies still need to file a confirmation statement to Companies House at least once every 12 months and keep registered information, such as directors, shareholders and the registered office, up to date. Filing dormant accounts does not replace the confirmation statement requirement. A dormant company remains incorporated until it is dissolved, so ongoing compliance matters.

Not necessarily. Whether a dormant company must submit a Corporation Tax Return to HMRC depends on its Corporation Tax position. If HMRC has confirmed that the company is dormant for Corporation Tax purposes and no longer needs returns, future CT600 returns may not be required. However, if the company has been trading, receiving income or has chargeable gains, it may still need to submit a return. Dormancy for Companies House does not automatically mean the same for HMRC.
