I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Are Dormant Company Accounts Suitable for Your Cumbernauld Company?

A company is generally considered dormant for Companies House purposes if it has no significant accounting transactions during the accounting period. That said, dormancy is not simply the absence of sales or trading activity – the rules depend on the company’s particular circumstances and the applicable legislation. For example, a company that has not yet started trading, or has stopped trading, may be able to prepare dormant company accounts if it meets the conditions. Importantly, being dormant for Companies House does not automatically remove all filing obligations. The company must still file the required annual accounts unless a specific exemption applies, and it may also need to submit a confirmation statement. Dormancy for HMRC Corporation Tax purposes is separate, and a company may need to notify HMRC and consider its Corporation Tax position. We can help you understand whether dormant company accounts are the right approach based on your situation.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are annual accounts prepared for a company that is dormant for accounting purposes. They are filed with Companies House and confirm that the company had no significant accounting transactions during the relevant period. Dormant status must be assessed against the applicable rules, and the accounts must still meet Companies House requirements.

Yes, in most cases. A company that is dormant for Companies House purposes generally still needs to file annual accounts, unless a specific exemption applies. Dormant status does not remove your filing obligation automatically. Our team can help you confirm whether your company qualifies for any exemption and prepare the necessary accounts.

Companies House and HMRC have separate definitions of dormancy. Being dormant for Companies House relates to your accounts and filing obligations with the registrar. Being dormant for Corporation Tax purposes is a separate matter and depends on your company’s HMRC position. Filing dormant accounts with Companies House does not automatically tell HMRC that the company is dormant. You may need to notify HMRC separately and consider whether Corporation Tax Returns are still required.

Some dormant companies may also qualify as micro-entities, which means they might be able to use the micro-entity reporting framework. However, dormancy and micro-entity status are not the same thing, and eligibility depends on factors such as your company’s size, structure and accounting period. We can review your circumstances and determine the correct reporting framework.

Yes, unless your company is exempt. A confirmation statement is separate from dormant company accounts and must be submitted to Companies House at least once every 12 months. It confirms that the company information on the register is accurate and up to date. Filing dormant accounts does not replace the need to file a confirmation statement.

Typically, we need details of the company such as the registered number, registered office address, director information and any transactions that may affect its dormant status. We also need to know about share capital or other statutory disclosures. By reviewing your company’s records, we can prepare the required dormant company accounts in line with Companies House rules.

If a company fails to file its dormant company accounts by the statutory deadline, Companies House may issue late-filing penalties. The amount depends on how late the accounts are and the company's circumstances. Dormant status does not automatically protect a company from penalties. If you have missed a deadline, the first step is to file the outstanding accounts as soon as possible and consider whether grounds for appeal exist. We can assist with preparing and filing late dormant company accounts and, where appropriate, help you understand the late-filing penalty process.
