We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can Your Company File Dormant Company Accounts?

A company may be able to file dormant company accounts if it is dormant for accounting purposes under the Companies House rules. This typically means the company has no significant accounting transactions during the relevant period. However, dormancy is not simply the same as having no sales or being inactive. Whether a company is truly dormant depends on its specific circumstances and the applicable legal definitions. Even if a company is dormant, it generally still needs to file the required annual accounts with Companies House and may need to submit a confirmation statement. In addition, being dormant for Companies House purposes does not automatically mean the company is dormant for Corporation Tax purposes with HMRC. The two are treated separately, and your company’s obligations depend on its own position. We can help you work through whether dormant company accounts are appropriate and what else may need attention.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are annual accounts prepared for a company that is dormant for accounting purposes under the applicable Companies House rules. They are filed with Companies House where required, usually in a simplified format. Being dormant does not mean the company stops existing; it still has certain filing and record-keeping obligations.

Yes, in most cases. Unless a specific exemption applies, a dormant company must still file annual accounts with Companies House for each accounting period. Dormant status does not mean the accounts requirement disappears. If the company is late, it may be subject to late-filing penalties.

Companies House dormancy is concerned with whether the company has significant accounting transactions and whether it can file dormant accounts. HMRC dormancy for Corporation Tax is a separate assessment. A company that is dormant for Companies House may still be active for Corporation Tax purposes, or it may need to notify HMRC and possibly stop filing Corporation Tax Returns. You should not assume the two definitions are the same.

Yes, unless the company is exempt. A confirmation statement is separate from annual accounts and is used to keep Companies House updated with company information. Dormant company accounts do not replace the confirmation statement. You may need to file one at least once every 12 months.

It depends on the company’s circumstances. If the company is dormant for Corporation Tax purposes and has been notified to HMRC, it may not need to file further returns once HMRC confirms this. Otherwise, the company may still need to file a Corporation Tax Return (such as a CT600) for each accounting period. It is important to check with us or with HMRC.

Some dormant companies may also qualify as micro-entities and may be able to prepare accounts under the micro-entity framework. This is subject to eligibility criteria, including whether the company meets the relevant size conditions for its accounting period. Dormancy and micro-entity status are different, so eligibility must be considered case by case.

To prepare dormant company accounts we will need details about the company, such as its registered name, registered number, registered office and accounting period, along with confirmation of any transactions that may have occurred. If no significant transactions have taken place, the accounts will normally reflect that. We will guide you on exactly what is required for your company.

Yes, we can review the company’s position and help prepare and file accounts that are overdue, provided we have accurate information and the right authorisation. It is important to file outstanding documents as soon as possible because late-filing penalties may apply. We cannot promise that penalties will be removed, but we can help you take the next steps.
