I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can Your Conwy Company File Dormant Company Accounts?

A company may be considered dormant for Companies House accounting purposes if it has no significant accounting transactions during the relevant accounting period. This often applies to companies that have not yet started trading, have ceased trading, or are retained as a holding vehicle or property SPV with no activity. However, dormancy is not simply the same as having no sales or no current trading activity. Even a dormant company generally still needs to file annual accounts with Companies House unless a specific exemption applies, and it may also need to submit a confirmation statement to keep its record up to date. It is also important to remember that being dormant for Companies House purposes is not the same as being dormant for Corporation Tax. HMRC applies its own separate tests, and a company may need to notify HMRC and cease filing Corporation Tax Returns only where the applicable rules allow. We can review your company’s circumstances and explain exactly which requirements apply to you.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant Company Accounts FAQs

Still unsure where you stand? Reach out to our UK team at info@microentityaccounts.co.uk and we will review your filing history with you.

Dormant company accounts are annual accounts prepared for a company that has no significant accounting transactions during the accounting period. They must meet the applicable Companies House requirements, which are generally simpler than full statutory accounts, but they still need to be filed on time. If the company qualifies for the micro-entity framework, the accounts can be prepared under that simplified reporting option in appropriate cases.

Yes, in most cases. Dormancy for Companies House purposes does not remove the obligation to file annual accounts. Each company must file the required accounts for each accounting period unless a specific exemption applies. Dormant accounts often contain less detail, but they still need to be prepared and delivered to Companies House by the statutory deadline.

Some dormant companies may qualify for the micro-entity reporting framework, but this is not automatic. Eligibility depends on the company's size, legal structure, accounting period and other criteria. If a dormant company also qualifies as a micro-entity, it may prepare accounts under the micro-entity framework using FRS 105, which can simplify reporting even further. We can assess eligibility and help you choose the correct reporting basis.

Companies House and HMRC use different definitions for dormancy. Companies House is concerned with whether a company has significant accounting transactions for annual accounts purposes. HMRC looks at Corporation Tax and generally expects active trading companies to submit Corporation Tax Returns. A company can be dormant for Companies House but still have Corporation Tax obligations unless HMRC has confirmed that no further returns are required. Filing dormant accounts with Companies House does not automatically tell HMRC that the company is dormant.

Yes. A confirmation statement is separate from dormant company accounts and is an ongoing Companies House requirement. Even if your company is dormant, you will generally need to review and confirm your company information each year. Filing dormant accounts does not replace the confirmation statement, and keeping your company record up to date helps ensure compliance.

If a dormant company misses its Companies House filing deadline, late-filing penalties may be issued. The penalty amount depends on how late the accounts are and may apply regardless of whether the company is dormant. Filing dormant accounts late does not automatically waive the penalty, and paying a penalty does not remove the need to file the outstanding accounts. In some circumstances, a penalty appeal may be possible depending on the applicable Companies House rules.

Yes, we regularly help directors of dormant companies in Conwy bring their accounts up to date. If your company has missed one or more deadlines, it is important to deal with the outstanding filings as soon as possible. We can prepare and file the required dormant accounts and also advise on confirmation statement and Corporation Tax matters, subject to your company's circumstances.
