I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can You File Dormant Company Accounts in Coleraine?

Under the Companies Act, a company is generally considered dormant for Companies House purposes if it has no significant accounting transactions during the accounting period. That might be the case for a company that has not yet started trading, one that has stopped trading, or a company that is retained as a holding company or for a future venture. However, dormancy is not automatic simply because a company has no revenue: the directors need to assess the company’s transactions and the applicable statutory conditions. A company that is dormant for Companies House purposes may be able to file simplified dormant company accounts, but it is not exempt from filing accounts altogether. It will also usually need to submit a confirmation statement each year. It is important to distinguish this from HMRC dormancy, which concerns Corporation Tax and is assessed separately. A company that is dormant for HMRC may be able to notify HMRC and cease filing Corporation Tax Returns if HMRC confirms that this is no longer required, but eligibility depends on the company’s individual circumstances.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are the statutory annual accounts that a dormant company prepares and files with Companies House for its accounting period. A company is generally considered dormant for Companies House purposes if it has no significant accounting transactions during the period. Required accounts must still be filed unless a specific exemption applies. Filing dormant accounts does not remove other obligations such as the confirmation statement or Corporation Tax requirements.

Yes, generally. Dormant status does not automatically exempt a company from filing its annual accounts. Most dormant companies must still deliver accounts to Companies House each year, although the form and content may be simplified depending on the company's eligibility, such as use of the dormant company or micro-entity framework. Our team can prepare the correct accounts and file them on your behalf.

A company can be dormant for Companies House if it has no significant accounting transactions. However, being dormant for HMRC purposes is a separate matter, often linked to whether a company is dormant for Corporation Tax. A company that is dormant for Corporation Tax may be able to notify HMRC and stop receiving Corporation Tax Return reminders, but this only applies if your circumstances meet HMRC's rules. Filing accounts with Companies House does not automatically tell HMRC that a company is dormant, and Companies House and HMRC have their own definitions and requirements.

Yes, in most cases. A confirmation statement is separate from dormant company accounts and must be submitted to Companies House at least once every 12 months. It confirms that the company's registered office, directors, shareholders and other statutory information are up to date. Preparing accounts does not replace the confirmation statement requirement.

It depends on the company's Corporation Tax position. If a company is dormant for HMRC Corporation Tax purposes and HMRC has confirmed it no longer needs to file Corporation Tax Returns, then no further returns may be due until the position changes. However, eligibility depends on the circumstances, and a company that is not dormant for HMRC purposes may still need to submit a CT600. We can review your position and help you understand whether any action is needed with HMRC.

Yes, a company that has not yet begun trading may be able to file dormant company accounts if it meets the dormancy conditions for the relevant period. That might apply, for example, to a company incorporated for a future project or to hold a property. It is important to check whether there have been any significant transactions that would prevent the company from being dormant. Even if the company is dormant for Companies House, other filings such as the confirmation statement and Corporation Tax reporting may still be required depending on the circumstances.

Yes. If a dormant company's accounts are overdue, it is important to regularise the position as soon as possible. We can prepare the outstanding dormant company accounts and electronically file them with Companies House. Late-filing penalties may apply and depend on how late the accounts are filed, so we cannot guarantee that a penalty will be waived. However, we can help ensure that all outstanding accounts are delivered and advise on any confirmation statement requirements that may also be due.
