They confirm that no significant accounting transactions have taken place and are filed in accordance with the Companies Act requirements. A company can be dormant for Companies House purposes even if it still has filing obligations such as an annual confirmation statement.
Yes, in most cases. A dormant company is generally still required to file its annual accounts with Companies House unless a specific exemption applies. Dormancy does not remove the filing obligation. The accounts you file will be dormant accounts, but they must still be prepared correctly and submitted on time to help avoid late-filing penalties.
Some dormant companies may qualify as micro-entities under the applicable reporting framework. That depends on the company's size, legal structure and accounting period. Dormancy and micro-entity status are separate. If a dormant company also satisfies the micro-entity criteria, it may be able to use the simplified micro-entity reporting format, subject to the relevant requirements. Being dormant for Companies House purposes relates to your obligations to file annual accounts and confirmation statements with the registrar.
