When Can a Company File Dormant Company Accounts in Clwyd?

Dormant company accounts are the annual accounts prepared for a company that is dormant for Companies House purposes. They are still statutory accounts and must meet the applicable requirements, although the content may be simplified where the company is eligible for a dormant or micro-entity reporting framework. Filing these accounts does not by itself notify HMRC that the company is dormant for Corporation Tax.

Generally, yes. A dormant company must still file its annual accounts with Companies House. Dormant status does not remove the obligation to file, and certain exemptions depend on the company's exact circumstances. Directors remain responsible for making sure the required accounts are delivered on time, even when the company has been dormant for the whole period.

Some dormant companies may qualify as micro-entities and may therefore be able to use the micro-entity reporting framework. This depends on factors such as the company's size, legal structure and eligibility. Dormant status and micro-entity status are not the same, so it is important to check which framework applies. Companies House and HMRC have separate definitions and processes for dormancy. A company may be dormant for Companies House while still being required to send Corporation Tax Returns to HMRC, or vice versa. For HMRC to treat a company as dormant for Corporation Tax, HMRC must be notified and their rules must be satisfied. Filing dormant accounts with Companies House does not automatically change your Corporation Tax position.

Yes. A confirmation statement is separate from annual accounts. Most companies, including dormant ones, must file a confirmation statement at least once a year with Companies House, provided they remain registered. This statement keeps the company's record up to date, including details of directors, registered office and share capital.

Usually we will need details of your company, including its registered number, registered office, directors and shareholders, together with the start and end dates of the accounting period. If your company has filed accounts previously, we can use the previous year's accounts as a starting point. We will also confirm that there have been no significant accounting transactions so the accounts are prepared correctly.

Yes. If a dormant company has missed its Companies House filing deadline, the filing is late and a late-filing penalty may have been issued. The penalty does not remove the need to file the outstanding accounts, so those accounts should be brought up to date as soon as possible. We can assist in preparing and filing the overdue accounts, but we cannot guarantee that any late-filing penalty will be waived or reduced. Each case depends on the rules and circumstances.
