A company is generally considered dormant for Companies House purposes if it has had no significant accounting transactions during the relevant accounting period. However, dormancy is not simply about having no sales or no current trading activity. A company that is dormant for Companies House purposes may have separate obligations to HMRC, and it may still need to file annual accounts and a confirmation statement. Dormant company accounts are annual accounts prepared for a company that is dormant for accounting purposes. For Companies House, a company is usually dormant if it has no significant accounting transactions during the period. Dormant accounts are not 'no accounts' — they are a specific statutory filing that must meet the applicable requirements. A dormant company generally still needs to file these accounts with Companies House unless a specific exemption applies.

Yes, generally a dormant company still needs to file annual accounts with Companies House. Dormant status does not remove the requirement to file accounts. The type and form of accounts depend on the company's size and eligibility, and some qualifying dormant companies may have simpler requirements. Unless a specific exemption applies, annual accounts must still be prepared and filed by the company's deadline.

Some dormant companies are also micro-entities and can use the micro-entity accounts framework, but dormancy and micro-entity status are separate concepts. To use the framework, the company must meet the micro-entity eligibility criteria under the Companies Act, including size. Not every dormant company will qualify. Yes, a confirmation statement is separate from dormant company accounts. A dormant company remains on the Companies House register and must keep its information up to date. In most cases you will need to file a confirmation statement at least once a year to confirm that the registered details are correct. Filing dormant accounts does not satisfy this requirement.

It depends on HMRC's rules and the company's Corporation Tax position. If HMRC has agreed that the company is dormant for Corporation Tax and has written to confirm that no further returns are required, the company may not need to file additional CT600 returns, subject to any future changes.
