Dormant company accounts are annual accounts prepared for a company that is dormant for accounting purposes. They must meet the applicable Companies House requirements and are filed with Companies House where required. Even though the company has no significant accounting transactions, the accounts must still be prepared accurately and submitted on time if the company is not exempt.
Yes, in most cases. A dormant company generally still needs to file the required annual accounts with Companies House unless a specific exemption applies. Dormant status does not mean that filing obligations disappear automatically. You should confirm whether your company qualifies for an exemption and, if not, ensure that the accounts are filed by the statutory deadline.
Some dormant companies may qualify as micro-entities and therefore may be able to use the simplified micro-entity reporting framework, such as FRS 105, where applicable. However, not all dormant companies are micro-entities, and dormancy does not automatically mean the company is a micro-entity. Eligibility depends on the company's size, legal structure, accounting period and other relevant criteria.
Being dormant for Companies House purposes means the company has no significant accounting transactions for the relevant period, and it relates to the filing of annual accounts. Being dormant for Corporation Tax purposes with HMRC is a different test and depends on the company's Corporation Tax position. A company may be dormant for Companies House purposes but still need to deal with HMRC regarding Corporation Tax, and filing dormant company accounts with Companies House does not automatically inform HMRC that the company is dormant.
Yes, a dormant company generally still needs to file a confirmation statement with Companies House when it is due. The confirmation statement is separate from dormant company accounts. It confirms that the company's registered office, directors, shareholders and other required information are up to date. Filing dormant accounts does not replace the confirmation statement.
It depends on the company's Corporation Tax circumstances. A company that is dormant for Corporation Tax purposes may need to notify HMRC and may not need to file further Corporation Tax Returns once HMRC has confirmed that a return is no longer required. However, this is subject to the applicable rules. Even if a company is dormant for Companies House purposes, it should confirm its HMRC position separately to avoid missing any obligations.
If required dormant company accounts are not filed by the applicable deadline, Companies House may charge a late filing penalty. The amount of the penalty depends on how late the accounts are filed and the company's circumstances. Dormant status does not automatically protect a company from late filing penalties. If you have missed a deadline, it is important to bring the filing up to date as soon as possible and consider whether you have grounds to appeal, which depends on the individual circumstances and Companies House rules.
