When Can a Company File Dormant Company Accounts?

A company can be considered dormant for Companies House purposes if it has no significant accounting transactions during the accounting period. This definition requires careful application and does not depend simply on whether the company has made sales. A holding company, a newly formed company that has not yet traded, a company that has stopped trading, or a company kept for future use may be dormant – but only if it meets the relevant criteria. Being dormant for Companies House purposes does not automatically mean the company is dormant for HMRC Corporation Tax purposes; the two authorities use different definitions and triggers. A dormant company generally still has to file annual accounts with Companies House unless a specific exemption applies, and dormancy does not remove the need to keep company information up to date or to file a confirmation statement when required.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.
