We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can You File Dormant Company Accounts in Chertsey?

A company may be able to file dormant accounts if it has no significant accounting transactions during the accounting period. This often applies where a company has never traded, has stopped trading, or is retained for a future purpose without income or expenditure. However, dormancy is not simply the same as having no sales. Whether a company can file dormant company accounts depends on the Companies Act definition and the company’s specific circumstances. A company can be dormant for Companies House purposes and still have filing obligations. In most cases, a dormant company must still file annual accounts and a confirmation statement. Dormancy for Corporation Tax purposes is separate: HMRC may treat a company as dormant if it is not carrying on a business or commercial activity, and different notification or return requirements may apply. Filing dormant accounts with Companies House does not automatically tell HMRC that a company is dormant for tax. It is important to understand both sets of rules. Micro Entity Accounts can review your company’s position and explain what needs to be filed.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are the annual accounts prepared for a company that is dormant for Companies House purposes, meaning it has no significant accounting transactions during the period. These accounts are filed with Companies House and are generally simpler than full annual accounts. They typically include a balance sheet and certain notes, but they still satisfy the company's obligation to file accounts where the conditions for dormancy are met.

Yes, in most cases. A dormant company must still file annual accounts unless a specific exemption applies. Many dormant companies file simplified dormant company accounts rather than full accounts. The term 'dormant' does not remove the filing requirement. If you are unsure whether your company qualifies for an exemption, it is worth getting professional advice based on your circumstances.

Some dormant companies may also qualify as micro-entities under the Companies Act and could prepare and file micro-entity accounts. However, dormancy and micro-entity status are separate and not all dormant companies automatically qualify. If your company meets the relevant size tests for a micro-entity, this may be an option. Micro Entity Accounts can review your eligibility and help you decide which filing format is appropriate.

Companies House dormancy relates to whether a company has significant accounting transactions for the purpose of annual accounts. HMRC dormancy applies when a company is not carrying on a business or commercial activity for Corporation Tax purposes. These are different and are assessed under separate rules. Filing dormant accounts with Companies House does not automatically make a company dormant for HMRC. You may need to notify HMRC separately and the company may still need to submit Corporation Tax Returns until HMRC confirms otherwise.

A confirmation statement is separate from dormant company accounts. In most cases, a company, even if dormant, must still submit a confirmation statement to Companies House at least once every 12 months. This confirms that the company's registered information is up to date. Filing dormant accounts does not replace the confirmation statement, and vice versa.

Not necessarily. If a company is dormant for Corporation Tax purposes, it may be able to stop filing Corporation Tax Returns once HMRC has been notified and has confirmed that no further returns are required. However, there may still be a requirement to file a final return for the period leading up to dormancy. The treatment depends on the company's tax position. Micro Entity Accounts can help you understand what may apply to your company and liaise with HMRC if needed.

Late filing of annual accounts, including dormant company accounts, can lead to automatic late-filing penalties imposed by Companies House. The penalty amount depends on how late the accounts are filed and can increase over time. Being dormant does not automatically shield a company from these penalties. If you have missed a filing deadline, it is important to bring the accounts up to date as soon as possible. We can assist in preparing and submitting the outstanding accounts, but we cannot guarantee that penalties will be waived or reduced.

To prepare dormant company accounts, we will need details about the company such as its company number, registered office address, share capital information, and the accounting period being covered. We will also ask about any transactions that have taken place, including whether the company has received any payments for shares or paid filing fees. Once we have this information, we can prepare the accounts and help you file them with Companies House.
