I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can Your Company File Dormant Company Accounts in Cheddar?

A company may be able to file dormant company accounts if it has had no significant accounting transactions during the relevant accounting period. Dormancy for Companies House purposes is determined by the applicable reporting rules, not simply by whether the company has made a sale or is currently trading. A startup that has not started trading, a company that has stopped trading, a holding company or an SPV retained for a future purpose might all be considered dormant in the right circumstances, but each case depends on the company’s specific facts. Being dormant for Companies House purposes does not automatically remove the need to prepare and file annual accounts, and it does not replace the confirmation statement. Similarly, Companies House dormancy is not the same as being dormant for Corporation Tax with HMRC. A company may need to notify HMRC separately and may still have Corporation Tax obligations. We can help you understand which rules apply to your company in Cheddar and what, if anything, needs to be filed.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant Company Accounts FAQs

Still unsure where you stand? Reach out to our UK team at info@microentityaccounts.co.uk and we will review your filing history with you.

Dormant company accounts are the annual accounts prepared for a limited company that is dormant for Companies House purposes. They are filed with Companies House and usually contain fewer disclosures than full statutory accounts. Dormancy is determined by the relevant accounting rules, and accounts must still meet the applicable requirements. Our role is to make sure the accounts are prepared correctly and submitted by the company's statutory deadline.

Yes, in most cases. A company that is dormant for Companies House purposes generally still needs to file annual accounts unless a specific exemption applies. Dormant status does not remove the company's obligation to deliver accounts to Companies House. If you are unsure whether your company is exempt, we can review its circumstances and clarify what needs to be filed.

Some dormant companies may also qualify as micro-entities and file accounts under the micro-entity framework. Eligibility depends on the company's size, structure and the applicable reporting requirements. Dormancy and micro-entity status are separate conditions, so it is not automatic. We can confirm whether your dormant company meets the requirements and prepare the appropriate accounts.

Companies House and HMRC have separate definitions and processes. A company may be dormant for Companies House because it has had no significant accounting transactions, but HMRC's treatment depends on its Corporation Tax position. Even if a company is dormant for Corporation Tax purposes, it normally needs to notify HMRC and may need to stop receiving Corporation Tax Returns. Filing dormant company accounts does not automatically inform HMRC. We can help you understand the difference and deal with both bodies correctly.

Yes. The confirmation statement is a separate annual filing with Companies House that confirms the company's registered details are up to date. Filing dormant company accounts does not replace the confirmation statement, and most dormant companies will still need to submit it. We can prepare and file both, helping you stay compliant.

Companies House may issue a late-filing penalty if the required accounts are not delivered by the applicable deadline. Dormant status does not automatically protect a company from a penalty. The amount of the penalty depends on the length of the delay and the circumstances. If your accounts are already late, we can review your position and help you prepare and file the outstanding accounts as quickly as possible.

Yes. A company that has not yet started trading may be able to file dormant company accounts if it meets the relevant criteria. It is not enough simply to have no sales; we look at the full picture, including any transactions that may affect dormancy. We can prepare the accounts and explain what paperwork and filings are needed.
