Dormant company accounts are the annual accounts a limited company must prepare and file with Companies House when it is dormant for accounting purposes. They can be simpler than full accounts, but they must meet the applicable filing requirements. They are not simply an excuse not to file accounts — the company must still submit what is required by its filing deadline unless a specific exemption applies.
Yes, in most cases a dormant company must still file annual accounts with Companies House. Being dormant for Companies House purposes does not remove the requirement to file accounts. A company may qualify for a more simplified filing format, but this depends on its circumstances and the applicable rules. If you are unsure whether your company qualifies for an exemption, we can review your position.
A dormant company may be able to use the micro-entity reporting framework if it also meets the qualifying conditions for that framework. Dormant status and micro-entity status are not the same thing, and not every dormant company will qualify. The choice of reporting framework depends on the company's legal structure, eligibility and the accounting period in question.
The meanings are not identical. A company can be dormant for Companies House purposes but still have Corporation Tax obligations with HMRC. HMRC has its own tests for what constitutes a dormant company for Corporation Tax purposes. Filing dormant accounts with Companies House does not automatically tell HMRC that the company is dormant. Where HMRC's requirements have been met, a company may not need to file further Corporation Tax Returns, but the company's individual circumstances need to be reviewed before that is confirmed.
Yes, a confirmation statement is separate from dormant company accounts. A dormant company generally needs to continue filing an annual confirmation statement to Companies House, unless it is exempt or has been dissolved. The confirmation statement confirms that the company's registered office, directors, shareholders and other required information are correct. Filing dormant accounts does not replace this obligation.
If a company is dormant for Corporation Tax purposes and HMRC has formally acknowledged that it no longer needs to file Corporation Tax Returns, then the company may not need to send further CT600 returns. However, every case is different. If the company was trading at all during an accounting period, or HMRC has not been notified, a Corporation Tax Return may still be required. Late filing of dormant company accounts can lead to penalties from Companies House. Dormant status does not automatically protect a company from these consequences. The amount of any penalty depends on how late the accounts are filed and on the company's particular circumstances. If you already have an overdue filing, it is important to bring it up to date as soon as possible.
